Secures Initial Revenue Stream Via Transformational Deal to Distribute Products Globally

BOS GLOBAL Holdings Limited, the AIM quoted software company focused on providing businesses with productivity solutions to drive efficient business practices and workplace engagement, is pleased to announce the execution of a distribution agreement between the Company's wholly owned subsidiary, BOS Distributions Pty Ltd ("BOS Distributions"), and Ag-I Solutions Limited ("Ag-I Solutions") which secures BOS distribution of Ag-I Solutions products globally, and first rights to acquire the underlying Intellectual Property ('IP') (the "Agreement"). The Agreement provides the Company with BOS -branded market-ready products which the Company anticipates will generate revenue in the near term. The Agreement Term is initially for three years expiring 31 December 2019 with an additional two-year option.

Ag-I Solutions (www.ag-isolutions.com) is a software development and licensing business headquartered in Hong Kong. Its portfolio of successful, enterprise level cloud based solution products covering Records, Document, Workflow and Meeting Management will be BOS GLOBAL branded. Ag-I's products are highly synergistic with BOS' BOS360 Work Patterns (PaaS) platform ('BOS360'), a business optimisation support system which is currently under development. When launched, BOS360 aims to revolutionise the way that businesses and its workforce operate by presenting real time, actionable data in the form of an individual, team and organisation 'Work Pattern', allowing for timely, fact-based decisions to be made that can deliver greater operational efficiencies, resulting in increased bottom line performance across the enterprise.

The Agreement with Ag-I Solutions will deliver BOS a suite of proven solutions for immediate deployment and revenue generation and will include a licence to enhance all products for further development and integration into BOS360. It provides for global master distribution rights to be granted to BOS Distributions, including the exclusive rights to brand, market and resell Ag-I Solutions products worldwide, excluding the territory of Malaysia. The Agreement will also provide BOS with the first option to acquire existing, future and jointly developed intellectual property.

The key benefits for BOS that are expected to flow from this agreement are:

1. Immediate deployment of four BOS branded products and generation of revenue via direct and reseller channels including BOS own branded Internet retail site;

2. Lead generation opportunities through channel referrals from existing customer base;

3. Leveraged distribution network to overlay BOS360 Work Patterns (PaaS) to existing customers and related channels;

4. Reduced operational expense in terms of BOS expansion, software development and support costs; and

5. Organic income and asset accretion in the event the IP is acquired.

This Agreement fits within the existing design of the BOS360 Work Patterns system, including that of BOS own existing patents granted and international patents pending.
