Admission to Trading of Consideration Shares

and Total Voting Rights

On 2 February 2018, Braemar Shipping Services plc ("Braemar") announced the acquisition of the entire issued share capital of Atlantic Brokers Holdings Limited (the "Acquisition"). Braemar confirms that application has been made for the 804,426 ordinary shares of £0.10 each in the capital of Braemar, issued to satisfy £2.1 million of the consideration, to be admitted to the Official List of the Financial Conduct Authority and to trading on the main market of the London Stock Exchange ("Admission"). Admission is expected at 08:00 a.m. on 7 February 2018.

In accordance with the Financial Conduct Authority's Disclosure Guidance and Transparency Rule 5.6.1, following Admission the total number of ordinary shares of 10 pence each in the capital of Braemar in issue will be 31,436,351, with each share carrying the right to one vote. Braemar does not hold any shares in Treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Braemar under the Disclosure Guidance and Transparency Rules.
