Major shareholder notification

Regenersis plc has today received notification of the transfer by Torch Capital Limited (formerly Total Repair Solutions Holdings Limited) ("Torch Capital") of its entire holding of 8,125,000 Ordinary Shares of 2p each in the capital of the Company (the "Shares") to Torch Capital (BVI) Limited ("Torch BVI") (Richard Emanuel is the ultimate beneficial owner of both Torch Capital and Torch BVI).

The Shares are those which were issued to Torch Capital pursuant to the terms of the agreement for the sale and purchase of Total Repair Solutions Limited (the "Acquisition") entered into by the Company on 4 August 2009 (the "Agreement) and in accordance with the Agreement the Shares were issued subject to transfer restrictions for 12 months following completion of the Acquisition.

Notwithstanding the Company's consent to the transfer of the Shares to Torch Capital BVI, it has been agreed between the Company and Torch Capital BVI that the Shares held by Torch Capital BVI will be subject to the transfer restrictions set out in the Agreement for the remainder of the 12 month period following completion of the Acquisition.
