Total Voting Rights

Further to the announcement made by The Berkeley Group Holdings plc (the "Company") on 31 March 2015, an additional 1,300,000 ordinary shares of 5p each ("shares") were admitted to trading on 2 April 2015 (the "Admission") into The Berkeley Group Holdings plc Employee Benefit Trust (the "EBT"). The Company now announces that it has a total of 136,657,183 shares in issue and admitted to trading, with one voting right per share. There are no shares held in Treasury.

The total number of voting shares in the Company is therefore 136,657,183. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the UK Financial Conduct Authority's Disclosure and Transparency Rules.

The 1,300,000 shares issued have been utilised towards satisfying options vested under the 2009B LTIP net of the exercise price of Β£4.96/share and tax and NI. The treatment of 2009 Part B awards is governed by the rules of the plan, as approved by shareholders at the 2009 EGM and the amendments approved by shareholders at the 2011 and 2014 AGMs.

Following the Admission on 2 April 2015, The Berkeley Group Holdings plc Employee Benefit Trust's (the "EBT") direct interest in the Company's shares was 1,406,799 shares, representing 1.03% of the Total Voting Rights.

Following the vesting and issue of shares noted above, the EBT's direct interest in the Company's shares decreased to 100,156, representing 0.073% of the Total Voting Rights.
