BOARD CHANGES

Berkeley is pleased to announce three new appointments to its Board. Rachel Downey is joining as a Non-executive Director. Justin Tibaldi and Paul Vallone are being promoted to the Main Board as Executive Directors.

Rachel Downey will join the Board as a Non-executive Director with effect from today's date. Rachel is Project Director of Manchester Life, a joint venture between Abu Dhabi United Group and Manchester City Council, which was established in 2014 to make a significant contribution towards achieving Manchester's regeneration and residential growth ambitions.

Prior to joining Manchester Life, Rachel worked with City Football Club to assemble 80 acres of land for the City Football Academy. She also managed the submission to Government for £113m to transform the public-sector housing stock in several neighbourhoods across Manchester and Salford as part of the Housing Market Renewal Pathfinder.

Rachel studied Jurisprudence at Christ Church, Oxford and subsequently qualified as a Chartered Accountant with KPMG. She spent six years as an Independent Member of the Audit Committee of Her Majesty's Prison Service.

She is currently a Trustee of the We Love Manchester Emergency Fund and the Lord Mayor of Manchester's Charity Appeal Trust.

Commenting on the appointment, Tony Pidgley Chairman of the Berkeley Group said:

"I am delighted that Rachel has agreed to join the Board of Berkeley. Her experience in construction and the public sector will make her a valuable addition to Berkeley's Board."

In addition, Justin Tibaldi (Managing Director, Berkeley Homes (Capital)) and Paul Vallone, (Managing Director, Berkeley Homes (Central and West London)) will be appointed to the Board as Executive Directors with effect from today's date.

Justin Tibaldi joined Berkeley in August 1999 as a senior surveyor and has held board positions as commercial and production director in the Group's London divisions for a number of years. Since 2011 Justin has been Managing Director of Berkeley Homes (Capital), the division that is developing Woodberry Down, South Quay Plaza, Trent Park, 250 City Road, Goodman's Fields and One Tower Bridge, amongst others.

Paul Vallone joined Berkeley in October 1990. He is responsible for the Group's Sales and Marketing Committee and is Chairman of Berkeley's international office network. Paul is Managing Director of Berkeley Homes (Central and West London), which has operational responsibility for the St Edward joint venture and is currently developing West End Gate, Kensington Row, 190 Strand, Vista, Chiswick Gate and Victory Pier, Gillingham, amongst others.

The remuneration packages for both Justin and Paul are consistent with the Company's remuneration policy as detailed in the 2017 Directors' Remuneration Report and approved by shareholders in February 2017. As agreed by the Remuneration Committee, both will receive a basic annual salary of £355,000 with effect from 1 December 2017. They will participate in the Bonus Plan for the entire year and be subject to the Group performance conditions, with a maximum bonus opportunity set at 200% of salary. All existing annual and deferred bonus and incentive entitlements will lapse, other than existing awards under the Company's 2011 LTIP ("the Plan") which will be retained, and additional awards granted up to a total award of 300,000 2011 LTIP options each, subject to the same terms and performance conditions as other awards under the Plan. Each will be subject to an annual remuneration cap of £2.4 million.

Tony Pidgley, Chairman of Berkeley, said: "Both Justin and Paul thoroughly deserve this promotion to the Main Board, having successfully led significant parts of Berkeley's business for a number of years. They have complementary skills to the existing Board members and fully exhibit Berkeley's vision and values. The appointments demonstrate excellent internal development in line with Berkeley's philosophy and I am delighted to welcome them to the Board."
