CHANGE IN BOARD RESPONSIBILITIES

The Berkeley Group Holdings plc (the "Company" or "Berkeley") announces the following changes to Board responsibilities and Board Committee membership:

Glyn Barker is to be appointed Senior Independent Director ("SID") and Deputy Chairman of the Company, succeeding Sir John Armitt. Glyn will also become a member of the Nomination Committee.

Sir John, who has served on the Board since 2007, and as SID and Deputy Chairman since 2012, will remain as a Non-executive Director but will step down as a member of the Nomination and Remuneration Committees.

The Board has also taken this opportunity to review and refresh membership of its Committees in order to make best use of the skills and experience our new Non-executive Directors bring to Berkeley.

Peter Vernon is to be appointed as a member of the Remuneration Committee;

Rachel Downey is to be appointed as a member of the Audit Committee and Veronica Wadley steps down as a member of the Audit Committee.

All the above changes are effective immediately.

Commenting on the changes, A W Pidgley CBE, Chairman of Berkeley, said:

Sir John's unrivalled experience in construction and infrastructure and his independent challenge, continue to be of significant value to the Board and we are delighted that he has agreed to continue as a Non-executive Director."

His knowledge of Berkeley, together with his broad and extensive experience in finance and as a business leader make him ideally suited to succeed Sir John in this important role."

This announcement is made in accordance with LR 9.6.11 (3).
