Results of General Meeting
Board Changes
Carnegie ("Carnegie" or the "Company") (AIM: CME) announces that all resolutions, as set out in the Circular to Shareholders dated 23 October 2008, were approved at its General Meeting held today, Tuesday 11 November 2008.
As set out in the Circular to shareholders, Rahul Singh will join the Board as Chairman and Boris Matveev will step down from the Board with effect from 14 November 2008 but will remain as a technical director. The Board would like to thank Boris for his very professional contribution to the Company as a board member.
The capital reorganisation will take place on 11 November 2008 and an application will be made for 143,000,000 new ordinary shares of 0.01p each to be admitted to trading on AIM on 14 November 2008.
Following Admission, the Company will have 143,000,000 ordinary shares of 0.01p each in issue.
The change of name of the Company to Beacon Hill Resources Plc will take effect on 12 November 2008. Existing share certificates in the Company will remain valid.

AIM Schedule Two Disclosure
Rahul Vendra Singh, aged 52, is founder and Chairman of the Dhunn-Carr group of companies, a private investment group with investments in technology and resources companies in the United States, India and Australia. He is currently Chairman of Tasmanian Magnesite NL, the owner of a magnesite project in Australia and founder and Chairman of the World Environment Exchange Limited. He is also a director of Between the Tiger and Crocodile Limited and Design Oriented Technology Limited.
Rahul is a graduate of Melbourne University, and was admitted as a Barrister and Solicitor of the Supreme Court of Victoria, Australia. He was formerly corporate counsel to CRA/Comalco, general counsel to Mercantile Mutual Limited (which became part of the ING Group), before joining McKinsey & Co. In 1990s he was a Senior Vice President of the Wall Street brokerage firm, Gerrard Klauer Mattison which he left to form Dhunn-Carr.
In August 2003, Mr. Singh, was a member of the general partner, the manager of the Dhunn-Carr Hedge Fund L.P. ("DCHF"). DCHF was found, by the Massachusetts Securities Division, to have offered and sold an interest in the DCHF to a non-accredited investor in breach of the Massachusetts Uniform Securities Act.
There are no further disclosures to be made in accordance with paragraph (g) of Schedule 2 of the AIM Rules for Companies.
