Begbies Traynor Group PLC04 May 2005 BEGBIES TRAYNOR GROUP PLC 4th May 2005 Directors' dealings Begbies Traynor Group plc ("Begbies Traynor" or "the Company") was notified on4th May 2005, that on 4th May 2005 the beneficial ownership in the followingordinary shares of 5p each in the Company were gifted by the Begbies TraynorNational Partnership (a firm controlled by Ric Traynor and Andrew Dick) toseveral existing members of Bebgies Traynor (North) LLP and Begbies Traynor(Central) LLP. The legal title is, however, to remain in the name of the Begbies TraynorNational Partnership. The recipients have agreed not to transfer the said shares for a period of twoyears without Ric Traynor's and Andrew Dick's prior consent. In accordance with the Placing Agreement (entered into, amongst others, betweenRic Traynor, Andrew Dick and Teather and Greenwood Limited on 28 September2004), Teather and Greenwood Limited gave their prior written consent to thetransfers.
