In conformity with the Transparency Directive 5.6 we would like to notify the market of the following:

Babcock International Group PLC's capital consists of 362,073,932 ordinary shares with voting rights.

The above figure (362,073,932) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Babcock International Group PLC under the FSA's Disclosure and Transparency Rules.
