SUB.: OUTCOME OF 167TH BOARD MEETING OF AXIS BANK LIMITED HELD ON 19TH JANUARY, 2016 AND ON 20TH JANUARY, 2016

REF: SEBI (LISTING OBLIGATIONS AND DISCLOSURE REQUIREMENTS) REGULATIONS, 2015

This is to inform you that the Board of Directors of the Bank has, at its meeting held today at the Corporate Office of the Bank, inter-alia, transacted the following items of business:-

1) Reviewed and approved the Unaudited Financial Results of the Bank for the quarter / nine months ended 31st December, 2015, along with the limited review report issued by the Statutory Auditor of the Bank. Further, please find enclosed Press Release on the said Financial Results of the Bank and the Earnings Presentation for the quarter ended 31st December, 2015.

2) Shri Sanjeev K. Gupta, Executive Director (Corporate Centre) has opted for an early retirement and the Board of Directors at its meeting held on 20th January, 2016 has accepted the same. Shri Sanjeev K. Gupta shall retire with effect from 18th March, 2016.

3) Formulation and adoption of the Policy for Determination of Materiality of Events / Information, in terms of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations. Also, please note that the blackout period will end after the close of business hours on Friday, 22nd January, 2016. Consequently, the trading window will commence from Monday, 25th January, 2016 and will remain in force up to Thursday, 31st March, 2016 (both days inclusive).
