Director/PDMR Shareholding

AVEVA Group plc (the "Company") announces certain transactions which have occurred under the Company's employee share plans in relation to the Return of Value to the Company's shareholders of 1,015 pence per ordinary share of 3 5/9 pence each in the capital of the Company, which was implemented by means of a B Share Scheme following completion of the acquisition by the Company of the Schneider Electric Software Business on 1 March 2018 in accordance with the terms of the Merger Agreement dated 5 September 2017 and made between the Company and Schneider Electric SE ("Completion").

The AVEVA Group Management Bonus Deferred Share Scheme 2008 ("DSS")

With effect from Completion, the following adjustments were made to certain of the Company's PDMRs' vested and unvested awards under the DSS. The adjustments operate to increase the number of Shares held under the awards by a factor of 1.53846 and rounded down to the nearest number of whole Shares.

The AVEVA Group Senior Employee Restricted Share Plan 2015 ("RSP")

With effect from Completion, the following adjustments were made to certain of the Company's PDMRs' vested and unvested options under the RSP. The adjustments operate to increase the number of Shares held under the options by a factor of 1.53846 and rounded down to the nearest number of whole Shares. The option exercise price per Share of 3 5/9 pence per Share, has not been adjusted below the nominal value.

The AVEVA Group Long Term Incentive Plan 2014 ("LTIP")

The following adjustments have occurred to certain of the Company's PDMRs' vested and unvested options under the LTIP. The adjustments operate to increase the number of Shares held under the options by a factor of 1.53846 and rounded down to the nearest number of whole Shares. The option exercise price per Share of 3 5/9 pence per Share, has not been adjusted below the nominal value.
