Update on 2019 AGM voting result

At the Company's Annual General Meeting (AGM), held on 18 October 2019, all resolutions were passed. The voting results recorded an increase in shareholder support for the Remuneration Report by comparison to the 2018 AGM. However, the vote of independent shareholders against the re-election of the Chair of the Remuneration Committee was 21.87% and the Company announced that it would be continuing its dialogue with shareholders in order to understand their views.

In accordance with the UK Corporate Governance Code, the Company is required to provide an update, no later than six months after the shareholder meeting, on the views received from shareholders and the actions it has taken.

Following the AGM, the Company undertook further engagement with its shareholders. While there is broad based support for Ashmore's flexible and equity-orientated Group-wide remuneration policy, certain corporate governance teams remain opposed to specific elements of the remuneration policy that, when looked at in isolation, do not conform to generic executive compensation guidelines. The Company continues to maintain a dialogue with its shareholders in relation to all aspects of its remuneration arrangements and a final update will be provided in the 2020 Annual Report.
