Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons
Grant of Awards under the Company's Performance Share Plan.
On 21 March 2016 the Company's Executive Directors were granted nil cost option awards over ordinary shares of 10p each under the Ascential plc Executive Performance Share Plan (the "PSP") as noted below:

Subject to the terms of the PSP, the awards will ordinarily vest and become exercisable as from the third anniversary of the grant of the awards subject to the grantee's continued service and to the extent to which cumulative adjusted EBITA and relative total shareholder return performance criteria are met over their respective measurement periods.
The measurement period for the adjusted EBITA measure comprises three financial years of the Company ending on 31 December 2018.
The measurement period for total shareholder return measure comprises the period commenced on the date of the Company's admission to trading in February 2016 and ending on 31 December 2018.
Once exercisable, an award shall ordinarily remain exercisable until the eve of the tenth anniversary of the grant date of the awards.
No consideration was paid for the grant of the awards and no consideration is due on the vesting and/or exercise of the awards.
The Company was notified of the above transactions on 21 March 2016.
The transactions took place in the United Kingdom.
This notification is made in accordance with DTR 3.1.4(1)(a).
