Artisan (UK) PLC19 January 2007 ARTISAN (UK) PLC 19 January 2007 RESULT OF EGM RE THE CAPITAL REORGANISATION At the Company's Extraordinary General Meeting held today at 11:00 am, all ofthe Resolutions were duly passed. The Capital Reorganisation will thereforeproceed. The record date for the Capital Reorganisation will be the close of businesstoday, 19 January 2007. The New Ordinary Shares of 20p each created by theCapital Reorganisation are expected to be admitted to trading on AIM from 8:00am on Monday 22 January 2007. Payments for Fractional Entitlements, where payable, and definitive new sharecertificates, where appropriate, will be paid or despatched to shareholders on 2February 2007. Shareholders entitled to New Ordinary Shares under the CapitalReorganisation who hold their shares in CREST, will be credited with their newshares on 22 January 2007. The voting for the resolutions was as follows: Votes in favour including Percentage of those votes those at the discretion of the cast Chairman %Resolution 1 89,096,370 96.68Resolution 2 90,418,874 98.11Resolution 3 90,059,586 97.72 The total number of votes against the resolutions represented less than 1percent of the issued share capital. The number of resultant shareholders following this reorganisation will fallfrom approximately 10,300 to under 5,000, in line with the Board's expectations.
