ArmorGroup International plc04 April 2008 ArmorGroup International plc (the "Company") Director's dealings and Notification of Interests in Shares This is to notify that the Company received notice on 3 April 2008 of thefollowing: Christopher Beese, the Company's Chief Administrative Officer, transferred287,731 ordinary shares of 1 penny in the Company ("ArmorGroup Shares") to theBeese Family Trust on 3 April 2008 at nil pence per share. Charles RussellTrustees Ltd, acting as trustees of the Beese Family Trust, has given anirrevocable undertaking to G4S (March 2008) Limited (the offeror pursuant to anoffer made by it to acquire the entire issued and to be issued share capital ofthe Company announced on 20 March 2008 and detailed in an offer document dated31 March 2008) in respect of the entire number of ArmorGroup Shares transferredto the Beese Family Trust pursuant to such transfer. These shares represent0.54 per cent. of the ordinary shares in issue. Noel Philp, the Company's Chief Operating Officer, transferred 768,448ArmorGroup Shares to the N Philp Trust on 3 April 2008 at 77p per share.Charles Russell Trustees Ltd, acting as trustees of the N Philp Trust, has givenan irrevocable undertaking to G4S (March 2008) Limited (the offeror as mentionedabove) in respect of the entire number of ArmorGroup Shares transferred to the NPhilp Trust pursuant to such transfer. These shares represent 1.44 per cent. ofthe ordinary shares in issue. The transactions noted above are designed to enable Noel Philp and ChristopherBeese to take advantage of capital gains tax taper relief before it is withdrawnon 5 April 2008.
