Board Changes

Arden Partners plc, the AIM listed small/mid cap institutional broker today announces a number of changes to its Board and Executive Management responsibilities which will provide a more focussed business structure. The changes reduce the size of the Board to a level which is perhaps more relevant to a company of this size.

Non-Executive Chairman, Lord Flight, of Worcester, will shortly be stepping down from the Board in order to devote more time to other business and political interests. It is expected that this departure will be effective from 31st December 2012,

Also with effect from 31st, December 2012, following an appropriate handover process, Trevor Norris, Group Finance Director and Company Secretary, will also be retiring from the Board and leaving the Company with a view to expanding his other business ventures.

As a consequence of these departures the following changes to the roles of other Directors are being made, with effect from 1st January 2013.

·; Peter Moon, Non-Executive Director will become Non-Executive Chairman (designate). Peter will also serve as Chairman of the Remuneration and Nominations Committees.

·; Mark Ansell remains the Senior Independent Non-Executive Director and continues in this role and in his position as Chairman of the Audit Committee.

·; Jonathan Keeling, Chief Executive Officer, will become Executive Deputy Chairman, with specific responsibility for developing Arden's Global reach.

·; James Reed-Daunter, Executive Director, is to become Chief Executive Officer (designate).

·; Steve Wassell continues as Chief Operating Officer (COO) and adds the role of Company Secretary.

·; Financial reporting to the Board becomes the responsibility of Arden's current Financial Controller, who will report to the COO on a day to day basis.

It is anticipated that the revised board structure will enable Jonathan to spend more time on his Global responsibilities leaving James to take control of managing the business.

Jonathan Keeling commented:

"I would like to thank Lord Flight for having chaired the business through what has been a difficult period for our industry. In stepping down he has played an active and major part in the restructuring of the business and the Board and we very much appreciate his contribution in this regard.

I would also like to thank Trevor Norris for his long and loyal service to Arden Partners since its inception.

Lord Flight commented:

"I have enjoyed working with Jonathan Keeling who has done a great job in establishing and sustaining Arden's Indian corporate business. I believe there is major potential to expand Arden's international business and it must be right for Jonathan to be freed up to concentrate on this.

I think James Reed-Daunter is the right man to take over as Chief Executive to manage both the Arden team and the cost base.

I congratulate Arden for remaining in strong shape in a difficult business environment and wish the Company every success going forward."

The above appointments, where appropriate, are subject to FSA approval.

The Directors are mindful of their obligations with regard to maintaining good and progressive corporate governance.
