Recommended Cash Offer (the "Offer") for APR Energy plc ("APR Energy")

("ACM") (together the "Joint Bidders")

Application for Cancellation of Admission of APR Energy Shares to Listing and Trading

Further to the announcement by the Joint Bidders on 5 January 2016 that the Offer had been declared unconditional in all respects, the directors of APR Energy wish to announce that requests have been made to the UK Listing Authority and the London Stock Exchange for the cancellation of (i) the listing of APR Energy's ordinary shares of 10 pence each (the "APR Energy Shares") on the standard listing segment of the Official List of the UK Listing Authority, and (ii) the admission to trading of APR Energy Shares on the London Stock Exchange's main market for listed securities. APR Energy hereby gives notice that the 20 Business Days' notice period for the cancellation has now begun. It is currently anticipated that cancellation of listing and trading will take effect at 8.00 a.m. (London time) on 12 February 2016, on the basis that APR Energy does not exercise its right to withdraw such requests before the cancellations take effect.

Delisting will significantly reduce the liquidity and marketability of any APR Energy Shares not assented to the Offer.
