Notice of Transactions of Persons Discharging Managerial Responsibilities ("PDMRs")

This notification is made in accordance with DTR 3.1.4R(1)(a) of the Disclosure and Transparency Rules.

Grant of option

The Company has been informed that on 28 August 2015 Apax Guernsey (HOLDCO) PCC Ltd granted an option over 2,750,000 shares in the Company to Ralf Gruss, a PDMR. The exercise price of the option is EUR 1.96 per Share.

A tranche of the option vests on grant with the balance vesting monthly. The option will be fully vested on 31 October 2019. It will lapse if not exercised within five years of 31 October 2019.

The Company is not a party to the deed granting this option.
