EBT Market Purchase Programme

Further to the announcement on 1 August 2024, AO World PLC ("AO" or the "Company") confirms that Apex Financial Services (Trust Company) Limited (the "Trustee"), as Trustee of the AO World Employee Benefit Trust (the "EBT") has commenced the market purchase of ordinary shares of £0.0025 each in ("Shares") (the "EBT Market Purchase Programme").

The Company was notified by the Trustee that the EBT has purchased a total of 8,882,350 Shares on 1 August 2024 at price of 117.359p each (inclusive of brokerage and dealing charges). 

These Shares will be held in the EBT and will be used to satisfy employee share-based compensation awards. The EBT is a discretionary trust for the benefit of the Company's employees. The purchase of Shares by the EBT has been funded by a gift from the Company.

Following this transaction, a total of 10,943,888 Shares (representing 1.89% of the Company's issued share capital) are held unallocated, by the EBT. The issued share capital in the Company remains unchanged at 580,303,475 Ordinary Shares.

Further updates in respect of the EBT Share Purchase Programme will be made as required.
