Director Subscriptions and Additional Listing Application

In the Company's announcement on 6 July 2022 in relation to the placing of ordinary shares of 0.25 pence each in the Company ("Shares") at a price of £0.43 per Share (the "Placing Price"), certain directors indicated their intention to subscribe for Shares at the Placing Price to maintain their then current shareholding percentages (once the Company ceased to be in a closed period for the purposes of UK MAR).

The Company announces that it has today entered into subscription agreements with the following directors pursuant to which those directors have agreed to subscribe for the following number of Shares at the Placing Price, subject only to Admission (as defined below) becoming effective. 

(*holding includes 350,877 Shares held by Gayle Halstead, a person with whom Chris Hopkinson is closely associated)

Chris Hopkinson is a director of the Company. For the purposes of Listing Rule 11 he is therefore classified as a related party of the Company. Chris Hopkinson has agreed to subscribe for 2,000,000 ordinary shares at £0.43 with aggregate consideration of £860,000, subject to Admission (as defined below) becoming effective. This transaction by Chris Hopkinson is classified as a smaller related party transaction under LR 11.1.10R(1) and is disclosed in accordance with LR 11.1.10R(2)(c).

Application has been made for 2,055,301 Shares to be admitted to listing on the Official List of the Financial Conduct Authority and to trading on the London Stock Exchange ("Admission"). It is expected that Admission will become effective on 24th August 2022. When issued, such Shares will rank pari passu with the existing Shares.
