8 July 2021. Animalcare Group plc (AIM: ANCR), the international animal health business, announces that further to Company's announcement earlier today, Ecuphar Invest NV ("Seller") has sold 13,857,213 ordinary shares in the capital of the Company (comprising its entire holding) at a price of 285 pence per Placing Share.

The Placing Shares sold, which comprise approximately 23 per cent. of the Company's existing share capital, have been acquired by a number of new and existing institutional and other shareholders.

Certain Directors and their associated parties have subscribed for Placing Shares at the Placing Price of 285 pence as follows:

Change of Director

Following completion of the Placing in which the Seller has sold their entire holding in the Company, Chris Cardon, who is the Seller's representative on the Board of the Company, has resigned from the Board with immediate effect. 

In addition and as a result of the Placing, the relationship agreement between (1) Alychlo NV (2) Ecuphar Invest NV (3) Panmure Gordon and (4) the Company dated 23 June 2017 has terminated automatically as Alychlo NV and Ecuphar Invest NV together with their respective groups are no longer interested in voting rights representing 25 per cent. or more of the total voting rights attaching to the Ordinary Shares of the Company.
