On 17 April 2020: (i) Securities Services Nominees Limited transferred 10,144,925 shares in the issuer which it held as nominee for Yew Tree Overseas Limited ("Yew Tree") to Aurora Nominees Limited as nominee for Omega Funds I Limited; and (ii) Yew Tree transferred the beneficial ownership of 14,492,750 shares in the issuer to ErsteAM Limited. Legal title to these shares continues to be held by Securities Services Nominees Limited, albeit in its capacity as nominee for ErsteAM Limited as opposed to its capacity as nominee for Yew Tree.
The percentages of voting rights held by Securities Services Nominees Limited and Yew Tree in Box 9 above have been reduced to reflect these transfers. Securities Services Nominees Limited holds a number of shares in the issuer as nominee for other shareholders in addition to the shares it holds in its capacity as nominee for Yew Tree, hence the discrepancy between the percentages of voting rights held by Securities Services Nominees Limited and Yew Tree in Box 9 above.
The ultimate beneficial owners of each of Omega Funds I Limited and ErsteAM Limited have given personal undertakings to Lawrence Stroll that they will exercise the voting rights attaching to the shares in the issuer directly or indirectly held by them in accordance with Lawrence Stroll's instructions. Lawrence Stroll therefore continues to indirectly hold the voting rights attaching to the shares in the issuer directly and indirectly held by Omega Funds I Limited and ErsteAM Limited.
