ANNOUNCEMENT ON CONTINUED INCREASE

IN SHAREHOLDINGS OF THE

COMPANY BY CONTROLLING SHAREHOLDER

Reference is made to the announcement of Air China Limited (the "Company") dated 22 December 2011 in relation to the increase in shareholdings of the Company by its controlling shareholder (the "2011 Announcement"). As stated in the 2011 Announcement, China National Aviation Holding Company ("CNAHC"), the controlling shareholder of the Company, has increased its shareholdings in the Company through acquiring A shares via the trading system of the Shanghai Stock Exchange since 21 December 2011, and intended to continue to increase its shareholdings in the Company by A shares, either in its own name or through parties acting in concert with it, via the secondary market within 12 months from 21 December 2011 in an aggregated amount not exceeding 2% of the total issued share capital of the Company (the "Share Acquisition Plan").

The Company received a notice from CNAHC that, pursuant to the Share Acquisition Plan, CNAHC has increased its shareholdings in the Company in an aggregated amount of 1% of the total issued share capital of the Company, details of which are as follows:

1. From 21 December 2011 to 22 November 2012, CNAHC increased its shareholdings in the Company by 129,713,364 A shares via the trading system of the Shanghai Stock Exchange, representing 1.01% of the total issued share capital of the Company (the "Increased Shareholding"). Accordingly, CNAHC directly and indirectly held 6,764,648,530 shares of the Company, representing approximately 52.47% of the total issued share capital of the Company.

2. CNAHC intends to continue to increase its shareholding in the Company, either in its own name or through parties acting in concert with it, via the secondary market within 12 months from 21 December 2011 in an aggregated amount not exceeding 2% of the total issued share capital of the Company (including the Increased Shareholding).

3. CNAHC undertakes that it will not sell any shares it held in the Company during the period of the implementation of the Share Acquisition Plan and within the statutory period.

The Company will continue to monitor the continued increase in shareholdings of the Company by CNAHC under the Share Acquisition Plan and will make timely announcement in accordance with the relevant rules and regulations.
