ADVFN plc ("ADVFN" or the "Company")

The following replaces the announcement released on 12 November 2009 at 10:31am under RNS No. 4052C. The previous holding for Mr Ray Negus should have read 999,999 rather than 666,666. As a result the new holding for Mr Negus should read 1,002,044 and the percentage holding should read 0.16%. In addition, 45,000 options were issued to Mr Robert Emmet not Mr Ray Negus as was incorrectly stated in the previous announcement. All other information remains unchanged.

Director shareholding - replacement

In respect of the recent recommended offer by ADVFN plc for the entire issued and to be issued ordinary share capital of All IPO plc, three directors of ADVFN received ADVFN shares in exchange for their holding of shares in All IPO plc as follows:

In addition, as part of the same transaction, options over ADVFN shares were granted to All IPO option holders on terms comparable to those on which the outstanding All IPO share options were held. As a result, the following directors of ADVFN received options in ADVFN which are exerciseable up to 21 October 2014 at an exercise price of 3.056 pence.
