Director/PDMR Shareholding Notification
Cambridge, UK: Abcam plc (AIM: ABC), a global leader in the supply of life science research tools, was notified on 21 September 2017 that on the dates below Dr Jonathan Milner, a Non-Executive Director of the Company and persons closely associated with Dr Milner, namely Dr Milner's wife (Roza Gounaris-Milner), The Dr J S Milner Accumulation and Maintenance Trust and The Evolution Education Trust, each of which Dr Milner is a trustee, and three companies (Avocet 66 Limited, Peregrine 66 Limited and Suntail 66 Limited) of which Dr Milner is a shareholder and a director, carried out the following transactions in Abcam's shares:
19 September 2017:
· The exercise of 17,243 options by Dr Milner over 17,243 ordinary shares of 0.2 pence each in the Company ("Ordinary Shares") at an exercise price of 0.2 pence per share;
· A transfer by Dr Milner of 95,057 Ordinary Shares for nil consideration to The Evolution Education Trust of which he is a trustee;
· A transfer by Dr Milner of 17,243 Ordinary Shares for nil consideration to his wife (Roza Gounaris-Milner);
21 September 2017:
· A sale, in aggregate, of 567,033 Ordinary Shares held by The Dr J S Milner Accumulation and Maintenance Trust, of which Dr Milner is a trustee, at a price of £10.168 per Ordinary Share;
· A sale, in aggregate, of 1,982,967 Ordinary Shares held by The Dr J S Milner Accumulation and Maintenance Trust, of which Dr Milner is a trustee, at a price of £10.168 per Ordinary Share to the following companies (in which both Dr Milner and The Dr J S Milner Accumulation and Maintenance Trust are shareholders and of which Dr Milner is a director), in consideration for the issue by those companies of further shares to The Dr J S Milner Accumulation and Maintenance Trust:
o 660,989 Ordinary Shares to Avocet 66 Limited;
o 660,989 Ordinary Shares to Peregrine 66 Limited; and
o 660,989 Ordinary Shares to Suntail 66 Limited;
· A sale, in aggregate, of 500,000 Ordinary Shares held by Dr Milner's wife (Roza Gounaris-Milner) at a price of £10.168 per Ordinary Share; and
· A sale, in aggregate, of 57,034 Ordinary Shares held by The Evolution Education Trust at a price of £10.168 per Ordinary Share.
These transactions are for tax and estate planning. Dr Milner remains fully committed to the Company as an active member of the Abcam Board in his role as Deputy Chairman.
As a result of the transactions described above, Dr Milner's total direct and indirect interest in the Company has decreased by 1,124,067 Ordinary Shares (including transfer of the 17,243 Ordinary Shares resulting from the exercise of the share options referred to above) to a total of 20,888,110 Ordinary Shares, representing approximately 10.21% of the Company's issued share capital and he holds 17,243 fewer options over Ordinary Shares.
Dr Milner's remaining direct and indirect interest in the Company is subject to a 12 month lock-up on customary terms.
