Santander UK plc (the Offeror) announces today its invitation to holders of its £275,000,000 30 Year Step-Up Perpetual Callable Subordinated Notes (ISIN: XS0117973429) (the Notes) to tender their Notes for purchase by the Offeror for cash (the Offer). The Offer is being made on the terms and subject to the conditions contained in the tender offer memorandum dated 13 September 2021 (the Tender Offer Memorandum) prepared by the Offeror, and is subject to the offer restrictions set out below and as more fully described in the Tender Offer Memorandum.

Copies of the Tender Offer Memorandum are (subject to distribution restrictions) available from the Tender Agent as set out below. Capitalised terms used in this announcement but not defined have the meanings given to them in the Tender Offer Memorandum. 1. The Offeror has discussed the Offer with Banco Santander, S.A., the Offeror's parent company, which holds £223,764,000 in aggregate nominal amount of the Notes. Banco Santander, S.A. has informed the Offeror of its intention to tender all of its Notes for purchase pursuant to the Offer.

Rationale for the Offer

The Offer, to the extent any Notes are accepted for purchase, will enable the Offeror to optimise its capital and funding structure in line with the evolving environment.

Details of the Offer

Purchase Price

The Offeror will pay for Notes accepted by it for purchase pursuant to the Offer at a price (the Purchase Price) to be determined at or around 2.00 p.m. (London time) (the Pricing Time) on 21 September 2021 (the Pricing Date) in the manner described in the Tender Offer Memorandum by reference to the annualised sum (such sum, the Purchase Yield) of a purchase spread of 250 basis points (the Purchase Spread) and the Benchmark Security Rate.

The Purchase Price will be determined in accordance with market convention and expressed as a percentage of the nominal amount of the Notes accepted for purchase pursuant to the Offer (rounded to the nearest 0.001 per cent., with 0.0005 per cent. rounded upwards), and is intended to reflect a yield to 30 September 2030 (being the first optional redemption date in respect of the Notes) on the Settlement Date equal to the Purchase Yield. Specifically, the Purchase Price will equal (a) the value of all remaining payments of nominal and interest on the Notes up to and including 30 September 2030 (assuming all outstanding Notes were redeemed at their nominal amount on such date), discounted to the Settlement Date at a discount rate equal to the Purchase Yield, minus (b) Accrued Interest.

Accrued Interest

The Offeror will also pay an Accrued Interest Payment in respect of Notes accepted for purchase pursuant to the Offer.

Any and All Offer

If the Offeror decides to accept valid tenders of any Notes for purchase pursuant to the Offer, it will accept for purchase all Notes that are validly tendered in full, with no pro rata scaling.

Tender Instructions

In order to participate in, and be eligible to receive the Purchase Price and Accrued Interest Payment pursuant to, the Offer, Noteholders must validly tender their Notes for purchase by delivering, or arranging to have delivered on their behalf, a valid Tender Instruction that is received by the Tender Agent by 4.00 p.m. (London time) on 20 September 2021 unless extended, re-opened, amended and/or terminated as provided in the Tender Offer Memorandum (the Expiration Deadline). Tender Instructions will be irrevocable except in the limited circumstances described in the Tender Offer Memorandum.

Tender Instructions must be submitted in respect of a minimum nominal amount of Notes of no less than £1,000, being the minimum denomination of the Notes, and may be submitted in integral multiples of £1,000 thereafter.

Participation in the Offer by Banco Santander, S.A.

The Offeror has discussed the Offer with Banco Santander, S.A., the Offeror's parent company, which holds £223,764,000 in aggregate nominal amount of the Notes. Banco Santander, S.A. has informed the Offeror of its intention to tender all of its Notes for purchase pursuant to the Offer.

The Offeror may, in its sole discretion, extend, re-open, amend, waive any condition of and/or terminate the Offer at any time (subject to applicable law and as provided in the Tender Offer Memorandum) and the above times and dates are subject to the right of the Offeror to so extend, re-open, amend, waive any condition of and/or terminate the Offer.

Noteholders are advised to check with any bank, securities broker or other intermediary through which they hold the Notes when such intermediary would need to receive instructions from a Noteholder in order for that Noteholder to be able to participate in, or (in the limited circumstances in which revocation is permitted) revoke their instruction to participate in, the Offer by the deadlines set out above. The deadlines set by any such intermediary and each Clearing System for the submission and withdrawal of Tender Instructions will be earlier than the relevant deadlines set out above and in the Tender Offer Memorandum.

Unless stated otherwise, announcements in connection with the Offer will be made by the Offeror (i) through RNS and (ii) by the delivery of notices to the Clearing Systems for communication to Direct Participants. Such announcements may also be found on the relevant Reuters Insider Screen and be made by the issue of a press release to a Notifying News Service. Significant delays may be experienced where notices are delivered to the Clearing Systems and Noteholders are urged to contact the Tender Agent for the relevant announcements during the course of the Offer.
