Changes in shareholder structure and Board composition
PJSC Polyus (LSE, MOEX: PLZL) ("Polyus", or the "Company") has been informed about the sale of 40,807,213 Shares, representing 29.99% of the Company's issued share capital, by IJSC "Wandle Holdings Limited" (beneficially owned by Mr. Said Kerimov) to AKROPOL GROUP LTD (beneficially owned by Mr. Akhmet Palankoyev, a controlling shareholder of JSC "Donugol", large producer of high-quality industrial anthracite).
The sale was completed on 4 April 2022, following the obtainment of approval by the Federal Antimonopoly Service of Russia on 31 March 2022.
As a result of the transaction, Mr. Said Kerimov reduced his interest in the Company from 76.34% to 46.35%.
Separately, Polyus announces that Mr. Said Kerimov resigned from the Board of Directors of the Company with effect from 4 April 2022.
