This technical notification of a change in the breakdown of voting rights results from the implementation of the contingent asset arrangements agreed between 3i Group plc and the Trustees of the 3i Group Pension Plan which were disclosed in the 3i Group plc half-yearly results for the six months to 30 September 2011.
Direct interests:
3i Group plc (180,440,753 voting rights) and 3i Assets LLP (120,481,908 voting rights) together have a direct interest in the total number of voting rights disclosed in section 8 above (i.e. 300,922,661 voting rights).
3i Assets LLP is a wholly owned subsidiary of 3i Group plc.
Indirect interests:
3i Group plc has an indirect interest in the 120,481,908 voting rights held by 3i Assets LLP.
3i Investments plc (a wholly owned subsidiary of 3i Group plc) has an indirect interest in 180,440,753 voting rights in its capacity as the discretionary Investment Manager of 3i Group plc.
3i Holdings plc and 3i plc are both wholly owned subsidiary undertakings of 3i Group plc, parent undertakings of 3i Investments plc and have an indirect interest in the 180,440,753 voting rights in which 3i Investments plc is interested.
