3i Infrastructure plc (the "Company")

The Company announces the resignation of Sir John Collins as a non-executive Director to take effect from 31 December 2014.

The Company further announces the appointments of Mr Douglas Bannister as a non-executive Director, with effect from 1 January 2015, and Ms Wendy Dorman as a non-executive Director, with effect from 1 March 2015.

A Jersey resident, Doug serves as the Group CEO of Ports of Jersey and Director of Box Trade Intelligence Limited, a start-up venture providing analysis of the global container shipping industry. Doug has also held senior positions within Maersk Line and P&O Nedlloyd.

Wendy, also a Jersey resident, is currently a Partner of PwC, with over twenty years' experience in leading accountancy firms. Wendy is also Chairman of the Jersey Institute of Directors and will be retiring from PwC later in 2015.

In accordance with the conditions attached to the Company's Collective Investment Fund Permit, the consent of the Jersey Financial Services Commission is required prior to any changes to the Company's Board of Directors taking effect. The resignation and appointments detailed herein are therefore subject to receipt of the requisite regulatory consents.
