Have I heck! I’m purely here out if my own interest and knowledge - I use cases like this to work out what not to do.

AJones - the main takeaway from the RNS is the near term liquidity crisis, the comprehensive deleveraging transaction and the very significant dilution.

Rampers seem to be completely oblivious to this and are more concerned about the family holding even though it’s u likely they could actually sell even if they wanted.

Poor - they can’t offload them. If the FT report is correct they have all sorts of borrowing secured against them.

There’s another set of disgruntled lenders behind the scenes.

Do you really think the creditors are bothered about today’s SP. It’s of no relevance to them. They are more concerned about the haircut they have to take and how much of newco they control going forward.

How do you figures that one out?

The deleveraging transaction will have nothing to do with the SP at whatever time it will happen but what the creditors value the company at once they have put a price in it’s future debt reduced cash flows.

Yes they simply hold the accounts in their name on behalf on their customers. The obvious example there is Hargreaves Landsdown. If you buy shares via HL they are the legal owner of the shares but you are the beneficial owner of the rights to that shares. So you get to receive dividends, vote on resolutions, attend meetings, etc, etc.

So the accumulation of all the HL shares held in nominee accounts appears as one entry on the share register.

I very much doubt they sold it. It someone owes you money and you have first dibs on their assets you are unlikely to give them more money.

A lot of these will be nominee accounts - no TR1s required I expect.

The minute CINE run out of cash they become insolvent. At this point the BOD really lose control of the company and the creditors hold all the cards. You could argue that they have held the cards for the last couple of years as they have kept the machine juiced up in the hope of a recovery.

The problem as I see it is the number of stakeholders who will pick apart the bones, some of which have no security so can only expect to recover a slither of their losses.

Once the cash alarm bells ring credit lines are seized, suppliers start wanting pro forma payments, credit insurers start getting tough on suppliers into the business and a bad situation becomes even worse.

Who holds the cards - you would think the debt holders, landlords, HMRC (look up crown preference), trade creditors, employees, and Cineplex depending on what happens with the appeal.

I've not long got back form my local Vue - It's was £7.49 each (VIP Seats) for me and my lad and we spent £17.50 on food. Not too pricey due to the cheapness of the tickets but the food is expensive but can easily be avoided. The question I would ask is how much money would Vue have made from that showing given there was about 20 people in there?

Contrast this with tomorrow - we are going to Jump In with my niece and it's cost me £52 so far without food. So the Cinema is relatively cheap.

One thing I noticed though is there are no advertisements for films outside now. Why is this? Saturday is £3 all day. How is this sustainable?

So the first column in section 7 relates to the holding of shares. The second column is voting rights attached to instruments (in this case a swap). Section 8 B1&2 then outlines the details of the swap.

This is sophisticated stuff when you start using derivates - usually very speculative or a hedging technique.

It certainly isn't a sign that GS are piling in, facilitating a takeover, etc, etc, and anyone who tells folk they are don't understand what they are looking at.

Not that I blame them as I don't fully understand it - its complicated stuff.

Just to be clear there are no others classes of shares - just ordinary. It’s all in the balance sheet. No A no B class, no preferred, etc.

GS have a swap which should they exercise it would give them the voting rights in the RNS. It’s a hedging instrument.

What is clear is that they have now virtually liquidated their holding of actual shares.

Hi Sharabel - The RNS clearly shows that GS sold up their holdings but then took a swap position - presumably as some sort of hedge and executed part of it in that last RSN.

They are tinkering in the background, not building up some substantial holding.
