New Strategy, Proposed Change of Name, Business Update, Board Changes, Directors' Remuneration and Grant of Share Options and Debt to Equity Issuance

The Board of Dukemount Capital (LSE: DKE) is pleased to announce that the Company is to change its name to capAI Plc, as part of a strategic repositioning of the Company's activities to henceforth solely focus on the Artificial Intelligence ("Al") space and seek significant capital growth. The Company will also change its ticker symbol to "CPAI" to reflect these changes.

By leveraging the experience, connectivity and existing investment exposure of the Company's current and proposed Directors and key stakeholders, the Company intends to become an integral participant in the nascent but burgeoning UK AI marketplace. The Board of Directors believes that the capAI name aligns with and better reflects the Company's immediate strategic intentions. The Company is in advanced discussions relating to the proposed first move by capAI into the Al sector and shareholders can look forward to further news regarding these matters in the near future.

The change of name will be effective once Companies House has issued a certificate of incorporation on change of name and a further announcement will be made when the name and ticker changes are formally effective. Until such time, trading will continue under the "DKE" stock ticker.

Highlights

• All legacy financial and personnel issues relating to the Company's previous activities now addressed. Company's current running costs now able to be met for foreseeable future from current cash resources.

From a recent Rns :Professor Nag has highlighted a seismic shift in start-up creation, driven by the emergence of the "nirvana concept" of the "One-Person Unicorn"; companies built by individuals, empowered by AI, aspiring to billion-dollar valuations. While projects may not actually be operated by one person only, certainly that will be the aim but will likely be tiny teams at the starting level.

· Accordingly, through the capAI ecosystem, we will aim to pioneer a new model of start-up and AI project development-companies aspiring to very significant valuations built and led by tiny high-performance teams leveraging AI's transformative capabilities. In this way, we will have a platform generating businesses within capAI.

· The Company is also in advanced discussions with R42 (www.r42group.com), a US venture capital firm, which Professor Nag is Founder and Managing Director, regarding a proposed alliance. This proposed alliance would combine capAI's status as a publicly listed company, bringing market credibility, investor access, and financial resources, with R42's position as an AI powerhouse delivering cutting-edge research, technical expertise, and specialised infrastructure. Through our proposed alliance with R42, we would target high-impact breakthroughs in media and medicine, sectors poised for exponential growth and disruption.

Professor Nag and Richard Edwards will neither accrue, nor be paid, any salary for their roles instead their remuneration will be entirely performance related and they will only therefore be rewarded in the event of significant share price appreciation.

The Board considers the appointment of someone of the stature of Professor Nag on purely a performance related basis as a transformational moment for a micro-cap company, such as capAI.

I think our Doctor will have his and our interests much to the for when agreeing to any alliance etc. I feel this is most lucrative investment going forward and we've been afforded the opportunity to get in early. The Doctor's interests are in line with investors small and large, so this is a strong buy&hold tight
