Well I suppose the only saving grace is the market hasn't moved the price up to the DA raise price, we are still at half that and it would seem for good reason. I have my reservations about the way they are fundraising this through US Capital partners, over the past few months the investments page has only added more, why haven't some of them closed? The convoluted way to invest through a USCP fund is due to the fact US investors will not touch small UK stock. I know they are doing a webcast next week to potential investors, but they seem very softly, softly with their approach, not really an approach you need if you are book building. Are investors hanging tough to try and get a discount? That would be normal in a placing process, if so they could reduce by 20% from 75c to 60c and still the TERN equivalent valuation will be 10p.

You put the kibosh on that, then sweepie2. Problem with this share is, as soon as they raise the offer the buying stops, then we just stagnate down again, to break out we need days of upward momentum...

Sweepie He is right though, there has been no breach of AIM rule 11. The information is in the public domain as DA released it. It was only certain other posters who weren't listening saying there was a breach, note who they are and ignore in future... However I do think TERN should have RNSed the news as it is an important development, especially when we have been told revenues from DA for H1 2017 were only in the low tens of thousands....... Redleaf are the only conduit, I still would like to see a firmer shot against the bows and a call for an EGM..... They are not listening to shareholders, they have millions of CLNs to still convert and I am sure they want to do this at the lowest price possible for tax reasons, before they get wrapped in a tax free wrapper and I am sure the new Directors want some cheap options as well, as they don't seem to want to buy in the market.

Thanks for that Hulltiger, Sounds promising, although I still won't count my chickens..... I do think that it doesn't help the DA fundraise to have it's largest shareholder trading at a 50% discount to the fundraise offer price. AS needs to be careful that his neglect of shareholders of TERN doesn't affect the ability to get DA's fundraise away, because his strategy for TERN seems to be reliant on the return of monies from the fundraise to continue forward.... I posted weeks ago that I hoped they would sell some DA stock in the US Capital Partners fundraise to recover some profits and also benchmark the rest of the holdings value. They did so and that to me was very positive, but it has then been left in limbo and it is clear that most current followers of TERN have no money and/or appetite to buy more, so they need to publicise what is happening to the broader investment community.

Hulltiger, You are not alone in your anger. I contacted the company yesterday about it and yes, got no response. If you contact DA they reply very swiftly and are very helpful and informative. The radio silence from TERN led to several large holders selling out as they felt they weren't being treated properly. This all happened after AS took over the reins and moved AF out. The new Chairman has been conspicuous by his absence, absolutely mute! There are only a relatively few people following TERN and if they don't publicise themselves and their investments no others will know..... We PIs don't feature in their plans and will be treated as such, unfortunately some PIs have bankrolled this through the placings and CLNs, as every new issue is sold back into the market.... I would be quite happy to get out at a nice profit soon, rather than think we will be part of a mega deal in the future.....

Such a good post! Geeforce2010! Some in charge of the threads don't know what they are trying to achieve or they do and that just shows them up for the traders they are. One thread is not moderated and the other is, but the thread user bows to some of the posters who buy and sell and blow hot and cold as they do so. Censorship is the main weapon used when the ramping hits full speed ahead....Unfortunately many of the posters now ramping are doing that to sell out soon, they need to get rid of any counter opinion to carry on their ramping. The sad thing is, some of the long term holders that own a lot in the company get banned while those that are now buying back in, call for them to be filtered or banned.....It won't attract many new investors because they will see this play out and the rampers will eventually sell down their holdings to buy into the 'next best thing' again.

Northern Explorer, Can i point you to my figures of earlier (and also you VistaMan), TERN own 27,837,529 DA shares and at $0.75 values TERN's holding at $20.88m or �15.58m (at 1/1.34 exchange rate). So I don't know where you get your figures from???? Also did you see that from the fund raise TERN are due to get $2m from selling some of their Pref A shares??? Are they taking 25% off??? Of course not, because those B shares only activate when the whole of DA is sold! So in short you have to value TERN's holding on what it is, they may sell all their shares in DA before it is sold and therefore the 25% B shares are an irrelevance... VistaMan, On the other side of the coin, you need to understand the holding in DA will be diluted by the extra shares issued for the fundraising....

29th September 2017 - TERN announce that Device Authority is raising $10m at $0.75 a share, TERN holds 27,837,529 DA shares and at $0.75 values TERN's holding at $20.88m or �15.58m (at 1/1.34 exchange rate). TERN's market cap is still at midday �7.6m so there is at least another 100% to get to the DA valuation. The bears have always pointed to placings as the next thing to worry about, but the Device Authority fundraise details show that $2m of the proceeds will be going to TERN which is more than enough to cover their recent acquisition and ongoing working capital. This is a 60% profit on what TERN paid for Device Authority shares last Autumn. It also signals TERN will use it's investment in Device Authority to cover any funding needs as it looks to expand it's investments in the IoT field. All in all a very positive outlook, with the share price and valuation of TERN half that of just it's holding in Device Authority, this is undervalued......

Quindell, Why do you say £11m, TERN's shares in DA if valued at the $0.75 funding price would be valued at closer to £16m.

JR87, Not sure what you mean by sales are needed, TERN is an investment company, it doesn't sell a product as such and will rely on selling investments down the line that will bring in the profits. So we can only value the Company on it's NAV and apply any discounts. The pattern is there to see and not helped by their shoddy treatment of shareholders and poor Investor Relations and PR. This could help shine a light on the Company, the only people who seem to know about it are it's long suffering shareholders. However while they are looking to invest in other Companies the use of placements was always going to happen , the Company are very clear about that. They are also in a corner with this as those investing in placings know they have no other revenues to fall back on and I think this is why we see lower prices for placings. The on ly thing that will change this short term is Device Authority, in fact the other investments are not really added in at all. Device Authority are looking to raise funds at $0.75 a share and that values TERN's shares in DA at £16m, will we see the valuation rise to close the huge gap between NAV and market Cap??

Don't agree with you there geeforce, the recent rise was on a solid bit of good news about Multos, the TERN BoD could have made something of that but didn't....That led to the lower placing price, but perhaps that was already agreed as the talks with inVMA are advanced??? What it does look like is that 1.25m of the fundraising shares have been rinsed by a large holder today....

Just bought £5k's worth, would have preferred to have bought them in the raising at 6.6p, but as explained unable to and still unable to get any more until money transfers for BSL account. I have just got back from a holiday the last week of which was without internet signal, so was pretty annoyed when someone called to tell me about the Primary Bid situation. So woke up today to find that Barclays have now turned my account into one where funds have to be in before a trade can take place. Not happy with that as not able to transfer anything over today..... So it looks like the odds are stacked against me! Primary Bid is run by Darwin, you know the guys that let companies have a line of credit and then short the SP down before a drawdown....so do you think the price of this was going to be anything other than low!!! I am also upset by them doubling the amount as the dilution is more and I suspect that it took until yesterday to close the deal, That they had already got 3300k underwritten by Darwin and that they only closed on £300k being filled by PIs ( and traders) and then doubled it to give Darwin £300k's worth at 6.6p..... So can see 4.5m shares from Darwin being sold into the market but suspect some will have gone during the recent spike. Another messy fund raise at a very low price.....Should I be happy, is this a present to LTHs??? NO!!!
