A judge would not consider the price of the placing shares or the the profit/loss made. He would just say, you were offered a full refund as you were not happy. Either take it or leave it.

there is no worry about the warrants. Even if a placing participant complained then rms could say, ok no worries, we will refund you your money, just send us the shares back and we will cancel your participation.

Said shareholder if still holding would get the placing price back (i.e under market value), If said shareholder is sold up they would have to buy back the shares in the market to return them to rms. Simples, its not going to happen.
