As expected, the market doesn't see an aquisition of a medium loop production ready company with all expertise and staff along with millions of euros of feedstock as being more valuable than the euro value in the bank.

Hypromag germany alrwady has feedstock for the first year plus and now add 300 tons to that.

Not the best general market conditions for this RNS (appreciating you cant hold news). Depending upon your measures of value its worth between 3-12p a share (8-16p NPV).

Also note, mka have just moved into a compete space to LCM with medium loop. This will peak USARs interest further being the owners of LCM.

One concern I have is they have bought a business pre revenue. That is reflected in the deferred payment but would prefer revenue at this stage.

The biggest driver for hypromag will be a named agreement with a customer or two e.g JLR or Siemens.

I would note that they now have a magnet footprint across the 3 main demand spaces, with short and medium loop

The problem for me is not the bb debate, that's healthy. Its the agenda driven FUD of the trading range traders. It speaks volumes - you know who you are - when chartists throw MAs out with 100p wedge imminent followed by silence and retest signal. Team this with - you know who you are - rhetoric around revenue, feedstock, tpa all under the banner of "i bought recently and dont have the luxury of a 10p average". Do me a favour, why buy if you had those concerns.

Its just FUD plain and simple. You Will note, these predators dont tell you when they sell their trade position.

End of the day I am an LTH with avg now around 15p (bought more over the last year) and I have been open about top slicing when we had some anomaly trading in 60s to which I significantly reduced my mortgage. However, I am invested as I see long term prospects better than ever with derisking events along the way.

The only ? I have seen were around the placing price (but convinced that was FD and Iran related) and some p155 poor communication. All part of a company growing and testing new markets.

The Nasdaq listing is litmus test, but they have seasoned advisors lesding this.

Since then its been a sad Veruca Salt narrative of frustration and the sp has moved back to its 1 year avg of around this level with complaints of "Daddy, I want my German acquisition, I want it now Daddy" & "Its not fair Daddy, LTH have are not underwater like me".

"Why public filing is a separate stage:

When the SEC and the company are close to alignment, the company makes the document public on EDGAR. This is not the end of review. It is the start of the public review period, where two new audiences get involved.

Public investors, analysts, journalists, and short sellers can now read the F-4 and find issues the SEC may have missed. They can submit comments to the SEC, write critical articles, or file enforcement complaints. The SEC monitors this public feedback and may issue further comments based on what surfaces.

Other regulators and exchanges now formally engage. Nasdaq begins its listing review using the publicly filed document. FINRA reviews underwriter arrangements. State securities regulators may comment. In Mkango's case, the TSXV is also reviewing the transaction in parallel.

The public phase typically adds one to three more comment rounds over two to four months. Comments at this stage are usually narrower and focused on specific issues, but they still need to be resolved before the SEC will declare the F-4 effective."

The F-4 was confidentially submitted to the SEC on or around 16 February 2026. This is the start of the SEC review process, not the end. Confidential submission lets the SEC begin its review without the document being public.

The next step is publicly filing the F-4. This typically happens after a round or two of SEC comments have been addressed. The circular says MKAR "expects to publicly file" the F-4 before the shareholder meeting, but does not give a date.

After public filing, the SEC continues to review and issue comments. The company responds with amendments to the F-4. This cycle typically takes several rounds. Each round is usually 30 days for SEC review plus time for the company to respond.

Only after the SEC is satisfied does it declare the F-4 "effective". That is the formal SEC sign-off and it has not happened yet.

The Amendment No. 1 to the BCA gave us the key timing markers. The Outside Date is 30 September 2026. If the SEC has not declared the F-4 effective by 14 August 2026, the Outside Date automatically extends to 31 December 2026. The CPTK SPAC itself is seeking shareholder approval to extend its life from 11 March 2026 to 11 March 2027.
