Without seeing the prospectus, final calculations, offtakes / strategic partners etc

It is reasonable to assume the story will start somewhere between 25p - 75p.

Also it is reasonable to assume the story will conclude somewhere between 250p - or more.

I'm estimating,

£300m - £400m MCAP on completion.

£1bn MACAP in time with full production.

£3bn - £5bn MCAP on further expansion.

Currently you can buy into this story at just 8p

The other 24% cannot stop the vote outcome of the 76% holder. No doubt done the streamline the RTO process and remove any uncertainty on the UPSA side.

76% to guarantee whatever the shareholder votes for.

It will make the RTO only needing one vote on the UPSA side, instead of multiple holders voting as they prepare for share transfer into AMG.

86Mt Measured in Lots 7 & 8 already meets and exceeds the 75Mt used in the valuation model.

The financial case is effectively proven at the highest confidence level.

Lots 5 & 6 are expansion upside.

We don't need the herd to raise the share price, the final calculations will determine the AMG shares value.

They'll be no massive dilution this side of completion, by the looks of how everything is structured it strongly suggests so.

Bridge funding has nothing to do with asset quality.

This is to get the RTO done, not fund operations.

Repayments start mid-June, if the RTO completes before then, your argument falls away.

Volume doesn’t tell you if a story is good…

It tells you if a catalyst has arrived.

Prospectus/ Circular will contain all the information needed for shareholders to make an informed decision.

Not expecting much of a suspension as there's so little hurdles left to cross. Literally, audited accounts, Prospectus published, GM vote for RTO and relist. It's not going to suspend before the vote.. so very short IMO

The circular used 40p as a deliberately conservative assumption. It even noted as well below the market price at the time.

It’s the same RTO now progressing, so this is a sentiment shift, not a change in the underlying story.

It's very much a strong buy in my opinion.

The way it’s being positioned feels less like a traditional mining play and more like an industrial materials supplier into the construction sector, which could attract a different type of investor and potentially higher valuation multiples.

Agree on the pace. “Off-take partners” (plural) suggests more than one discussion underway.

Smaller counterparties can move quickly, while larger players usually take longer due to testing and validation.

Following on from the audit point, the “new” auditor has worked with the company before (up to Nov 2023).

No onboarding delay, straight into delivery.

All consistent with a compressed RTO timeline.

This is also worth noting for shareholders:

The April audit target isn’t a regulatory deadline, it’s a deal deadline.

The auditor change looks like it’s been done to keep the RTO moving at pace.

This could be a game changer line:

In parallel, UPSA continue to progress constructive discussions with potential off-take partners.

With the £2m now in place to take the company through to completion, where would any significant pre-RTO dilution come from that would materially impact the 3% allocation?

Also, where does Yorkville make the most return here? Are they pushing for pre-RTO dilution, or allowing the RTO to complete and benefiting from conversion and warrants in a potentially higher valuation environment?

Starting to look very much like TW and the scaremongering tactics of certain posters cannot see the wood for the trees.!!!

Yorkville, having waived the preset conditions and agreed to bring the funding forward does say a few things:

They accelerate because they’re risk comfortable.

They see RTO progressing.

They expect to benefit (conversion + warrants).

They have visibility and were happy to commit early.

The above implies:

Confidence in deal progressing.

Confidence in the timeline.

Expectation of equity upside (not just loan repayment).

Yorkville want the RTO completion and are positioned to benefit from it.
