A confirmation statement is a form that all UK companies (including dormant companies) must file annually with Companies House. It confirms that the company's details on the Companies House register are up to date and accurate. It also confirms that the company's intended future activities will be lawful.
Key aspects of a confirmation statement:
Purpose:
To ensure that Companies House has accurate and up-to-date information about the company.
Frequency:
Filed annually.
Contents:
Registered office address.
Details of directors, secretary, and persons with significant control (PSCs).
Shareholder information and statement of capital (if applicable).
Standard Industrial Classification (SIC) code.
Statement confirming that the intended future activities of the company are lawful.
Consequences of non-filing:
Companies House may issue a financial penalty and could strike the company off the register if a confirmation statement is not filed.
Changes in 2024:
From March 5, 2024, companies must also include a "statement of lawful purposes" to confirm that their intended future activities will be lawful.
Companies House may also require full shareholder information to be provided.
