These grade are on a par or better than previous Zaranou grades - and confirms strike. Great News.

I was initially disappointed with the grades but then realised I was comparing them to yesterday's PUR bumper grades. This will be a very profitable mine.

Agreed Boo80 - The deal has a nasty smell about it. Management basically selling their own company to themselves for shares.

However - this is where they are and the deal is necessary to move forward.

However (again) PHE MC of £76M seems very high just now

I still worry Peel will be distracted and can't make my mind up whether the deal with PHE is exactly what they need or a sideshow until their main business is on a more even keel.

Anyone any clarity on what has happened to the PHE deferred shares?
Unless I've missed it - Today's announcement doesn't clarify it. Perhaps a question for the AGM.
Today's RNS does simplify the share register but not completely.
Before the announcement we had:
2,064,506,914 ordinary shares with a nominal value of 0.5 pence each
388,496,797 deferred shares with a nominal value of 0.5 pence each
17,373,523 deferred shares with a nominal value of 4.5 pence each
9,737,353 deferred shares with a nominal value of 4.0 pence each

The deal was necessary but extremely nepotistic - BooHoo would be proud!

z-cars: Yep - Peel Group are Intu's largest shareholder - Intu now suspended having dropped from 80p to 1.8p
Peel will be hurting from this but you may be right - they may well be able to salvage something from this.
jabberba: Incorrect - those are all part of Peel - held as separate entities under the Peel Group umberella.

I think Peel Group are an ideal partner with very eco credentials...however this is an extremely difficult time for them and I worry that things may stall here...

Just posing this question....

Peel are predominantly a landowner and landlord...

They own many retail and leisure properties - not a good space at the moment - look at INTU today.

COVID-19 and the move to working from home will mean business insolvencies and going forward less office space requirement - both will hit Peel hard.

So...
...on the one hand - Peel really need this deal with PHE.
...on the other hand - can they afford it - will they downsize the deal or slow it?

What do people think? As I see it - PHE is totally reliant on Peel

The merged company will be 40% owned by W2T and 60% PHE existing shareholders (whatever that means from the confusing shareholder register). What is the current value of W2T?

You are right about the warrants and options - they will bring in (a small amount) of cash to the business but are still dilutionary. The other positive is that they have been given to directors and in respect of services (eg brokers, consultants) en lieu of cash. Not sure why the deferred shares would be cancelled.

Really excited about the potential of Powerhouse & DMG, however the share structure is a mess...
As of 03/06/2020:
2,070,610,416 Ordinary shares
415,607,673 Deferred shares (of 3 classes)
10,550,000 warrants [at least] (exercisable at 0.5p) outstanding
99,333,333 options (0.6p) outstanding
Plus the cross-holdings in Waste2tricity who will own 40% of the combined company.
That amounts to approximately 50% dilution. No wonder Peel want this tidied up.
