Northcoat, why would a New York recruitment business be investing in a mining operation in west Africa?!! The Hudson global Inc (HSON) which has seen a 40% rise on the Nasdaq is a global talent recruitment company, not the the Hudson Global Group Ltd nvested in our minng company in west Africa. BZMs main shareholder, Hudson Global Group, is a subsidery company of China Sonangol international based in Hong Kong. See below HSON on the Nasdaq (business - recruitment). It does not have operations in Africa and isn't involved in mining. https://en.m.wikipedia.org/wiki/Hudson_Global The company invested in BZM refrrred to in this article as a subsidery of China Sonangol in Hong Kong http://www.stockmarketwire.com/article/5359695/Bellzones-losses.html Comprende??
Just had a read through the new website. It's nicely laid and clearly explains how far they've come with Nuvec already. The evidence for successful transfection of cells is clearly shown and is probably why they were awarded the funding from Innovate UK. Looking good for news in the near term on this, although it's probably the sildenafil that will get people's interest A very experienced board - Paul Titley has advised over 900 pharma companies over a 40 year period - and lots of research going on. We're in at 7p a share. Reckon we're on to a winner here.
As Elan pointed out. meeting went smoothly and the name change has been made. Here's the link, we're now N4 Pharma. Scroll down and you'll see previous Company name Onzima changed May 2nd https://beta.companieshouse.gov.uk/company/01435584
There was a general meeting today at 11 to obtain shareholder approval of the reverse take over. The AGM didn't deal with the reverse take over. See the RNS dated 13 April. Maybe we can expect an after hours RNS?
Are statements on this board legally binding? I'm looking forward to the drinks and tarts - I'm assuming you mean the edible type - on Rachelsdad and if we reach the Cuban cigar stage I'm flying off to Havana to get the real deal.
What's exciting about N4 and our situation is that this is not a start up company but a company with projects already in full swing and some fully funded. It is already on the radar of those who specialise in this field I'm sure. I'm hopeful, based on the statement on N4's current website, that there will be a solid flow of news, bringing in new investors in anticipation of contracts with a major pharma. '2017 will be an exciting year for N4 Pharma as it continues to file a wide range of exciting reformulation patents and to develop exciting new versions of these drugs which it intends to license to leading pharmaceutical companies . ”
Ahhh yes! I did wonder about the speed of the relisting. According to the RNS, the general meeting is the 2nd and they anticipated trading from 8am on the 3rd. OK so we start trading on the 10th - a week in which we can release/prepare news on progress to catch the market's attention. Happy days!
i also wondered about newsflow, especially when some posters on advfn seemed to know about the placing. I messaged GB last week and he got back to me on the morning of the RNS. He also mentioned that our investments and warrants have performed well, so the costs of the RTO were covered. Outcomes are all that matter and in his own words 'onwards and upwards' from here. Looking forward to the launch.
This is the stand out sentence from the RNS:- "The risk reward profile with a portfolio approach to drug reformulation backed by strong IP is one that, the Directors believe, has the potential to generate significant returns for Shareholders" Looking forward to the month of May!
Divide your holding by 800, multiply by 200 and that's your new shareholding. The true value will be the market price not 0.4p. They did a placing at 7p, so I guess that's the issue price?
This is how I understand things:- Before a reverse take over takes place there must be shareholder consent. If the consent is given then shares in ONZ are cancelled and the new company, N4, must then apply to be listed just in the same way as a new company. Ten working days notice is required before admission. As far as I'm aware shareholder approval has not been asked for at the upcoming AGM, so I can't see how the RTO can take place at the moment. I've emailed Gavin for clarification that shareholder approval must be given and if there will be an emergency general meeting at some point in the future to obtain shareholder approval. No reply yet. As for ONZ being cancelled at this stage - I don't think so. See my previous post regarding going past the 6 month stage. I suggest you read the AIM rules set out last year. Look at point 14. It's quite clear that shareholder consent must be obtained. Here's the link guys. http://www.londonstockexchange.com/companies-and-advisors/aim/advisers/aim-notices/aimrulesforcompaniesjan16.pdf
According to N4s website ' It is expected that the proposed acquisition will be completed by mid April' but ... ' Subject to shareholder approval' will we get this and compete the necessary documents by Thursday? Don't forget Friday and Monday are holidays. So what happens if we miss the 6 month deadline?! "Where the AIM company has not completed its reverse takeover transaction within the six-month period, its listing will be suspended (and will normally be cancelled if it remains suspended for a further six months under AIM Rule 41)" Taken from:- http://www.nabarro.com/insight/briefings/2015/december/changes-to-the-aim-rules-affecting-investing-companies/ So we remain suspended but not cancelled. Has anyone been in contact with Gavin recently?
Thanks. Interesting discussion threads over there it seems. I'll follow that board too from now on.
"People being asked to participate in the placing" Are you saying some shareholders have been contacted and offered the chance to buy in through the placing? When did this happen? That's a positive for sure
That's good to hear - Gavin has indicated everything is fine. It's reached the point when I was considering dropping him a message myself, but as you and others have already done so Charlie, then I'll carry on keeping my eyes peeled for news.
Indeed! With all that's going on with ONZ, N4's work, I'm assuming, has been continuing regardless. Let's remind ourselves that they received a grant for the Nuvac program from the Medical Research Council, which is in itself a great endorsement of N4 and raises its profile. The MRC is a government funded body that supports 'excellent science projects that enhance the health of people in the UK and around the World' And in the words of Nigel himself (N4 website) :- '2017 will be an exciting year for N4 Pharma as it continues to file a wide range of exciting reformulation patents and to develop exciting new versions of these drugs which it intends to license to leading pharmaceutical companies . ” Well, Q1 of 2017 is already over, so here's to hoping that our newly listed N4 will explode into life with a flurry of endorsements, deals and research updates. One can but hope!
Well that's one positive I guess. A narrowed loss from 164k to 22k for the last year of trading as ONZ. Now when is the shareholder meeting to get approval for the RTO?! Maybe they wanted the final results info out first - news very soon on the EGM then?!
I emailed Gavin on Nov 28 and got a reply stating 'we will announce anything material' and 'we will announce an update as soon as able'. He then wrote he was happy to call me to discuss the situation. AnthonyJames had just spoken to him and then updated us on here regarding the main questions I had; namely, why if further investments have been made haven't shareholders been informed and can you confirm that the market will be updated in the next few weeks. I didn't follow up with a phone call because of your post on here Anthony. Looking back on it, there was no mention of an update in the coming weeks but ' as soon as able' If you hear anymore then Anthony, can you post it here also.
We have to remain positive but I'm concerned by the absence of updates to the shareholders. I see your point though - why make this change now unless they're doing the groundwork for a new company.
Here's the link to the companies website showing that the change of address occurred on the 7th. According to the companies data, there are 153 companies using this address. https://beta.companieshouse.gov.uk/company/01435584/filing-history
