Re: AGM notice - nothing too unusual there, I think the usual Specials but not checked in detail yet.

I was interested to see if John Liu was up for re-election. He is. John was a partner at Valuestone and advisor at Jiangxi Copper. Valuestone and Jiangxi have a direct investment relationship, being partners in a mining investment fund.

Is John Liu compromised by his relationship with the above? Equally, would it rock the boat with Jiangxi to remove him from the Board?

Agree on Rule 8 - very useful to flush out the 1%+ holders.

Mong - a 26p offer is already over US$1bn. (Suspect most discussions are in $).

Why can't they go a lot higher?

A great few weeks. I was worried the Solgold spring had been coiled for so long it was broken. But sure enough as Profitsniffer suggested, the path to 30p has been rapid.

If it isn't Bob, then that is suggesting only c1.5% (6.76% - 5.11%) left in Canadian fund/PI hands. Which feels too low to me.

Interesting the data used is 6th August "(as far as the Company is aware as of August 6, 2025)". And there was the 'SolGold Share Capital and Voting Rights' RNS recently, to remind SHs of potential disclosures!

Fort - Annual Report shows Bob (Maxit, Canada-based) owning 5.11%.

Solgold say exceeding the 10% Canadian threshold by a "small margin". Let's assume 12%?

Solgold say excluding the Significant Shareholder (i.e. Bob) results in 6.76%.

12% less 6.76% = 5.24%; very close to Bob's 5.11% holding.

I can only see that it would be Bob.

So if Solgold must hold the AGM on or before 31st Dec (6 months from financial year-end, which is 30th June).

Needs 15 clear days notice. I think Bank Holidays CAN be counted as clear days, so latest date of AGM notice would therefore be Tue 9th.

Agree Bozi, but if time to finalise directors for re-election better to hold back a bit (within annual AGM requirement of course).

Likewise any discussions that would impact / require new specials. Not a good look to hold an AGM and then a week later need an EGM for specials. Get everything in order first, and do all in one go.

As I've commented before, Solgold just appear to do lots of this thinking in Q4.

When I challenged the AI why Solgold still hasn't confirmed AGM and resolutions, it said "The user may have missed the announcements because they were published earlier in November 2025 (based on the current date of November 27, 2025)... The company announces all official news, including the results of today's meeting, via regulatory news services and on its website."

You couldn't make it up. Well, actually AI CAN make it up.

To give an idea of the 'reliability' of AI I asked the following question to a popular AI tool:

"what are 2025 solgold agm resolutions?"

The answer was:

"SolGold's 2025 Annual General Meeting (AGM) was held today, November 27, 2025, and all proposed resolutions were passed by shareholders. The meeting included 13 ordinary resolutions and three special resolutions, covering standard annual business and specific authorities for the board."

"Director Re-elections: Re-electing specific directors to the Board. (Note: One director, Adrian van Barneveld, resigned on the day of the AGM, which was announced separately)."

This answer comripised of:

- an AGM RNS from a completely different company

- items from Solgold's 2024 AGM

- some news from today's RNS

Completely unreliable.

RE: AGM Fort, as you say, it is not just picking a date, it is confirming the resolutions to be put to shareholders.

What could be under discussion that would impact the specials? Potentially lots.

But the boring answer could be Solgold is sorting out their Board / NEDs for next year (Swiss domicile). So today's news means no resolution to re-elect Mr. van Barneveld - hence impacting the AGM resolutions and date.

We're a US $billion+ company again.
