Lesson 1: Remember, BASHERS NEVER Bash A BAD STOCK. Check the boards for stocks with no potential. They never have any Bashers. Bashers only go after stocks that are moving up or have excellent potential to do so. Bashers work to bring the price down to either increase their position at the expense of others or help a Short make their bones. 

Lesson 2: BASHERS ALWAYS BRING UP OLD NEWS THAT YOU HAVE HEARD MANY TIMES. New startup companies always have a few bits of bad news. The Basher will post this over and over again. Unsophisticated Bashers will try to freshen up old news with a new date or by-line in an attempt to fool you. 

Lesson 3: BASHERS POST MANY TIMES A DAY. They try to wear you out. They comment on everything, every other post, and can answer every question. THEY KNOW IT ALL! There is no positive comment they won't Bash. They try to control the board. True longs may have to confront the Bashers or they will appear to the newbies as being the people with all the information. This is best accomplished by posting positive, well researched data on the company, repetitively, while trying hard not to engage the Bashers in direct repartee. REMEMBER - LONGS... RESIST USING THE BASHERS ALIAS!

Lesson 4:  BASHERS WILL LIE TO YOUR FACE. Never trust a Basher. The truth on startup companies is that they make mistakes. What new company hasn't? The Basher will compare your issue to a another companies, financials - deals - management, etc., trying to lure you into making an Apples to Oranges comparison. Remember each company is unique and while it is prudent to seek out established indicators, do so with care and don't take someone else's word for it. Strive to come up with at least a "six-pack" of indicators so your vision of the state of a company is not tied to a single barometer. Not doing so is tantamount to going to a Race Track and betting on the "Pretty Brown Horsey". BASHERS WANT TO WHISPER IN YOUR EAR - PLANT A SEED OF DOUBT, AND HOPE THAT YOU ARE NOT SAVVY ENOUGH TO RESEARCH THE TRUTH ON YOUR OWN. This is how they achieve their greatest success.          

DOUBT +   FEAR +  LAZINESS  =  BAIL OUT!

This is your investment... work for it, protect it and don't panic on the words of very shadowy figure that "has your best interest in their heart". Consider that one factor: Someone you have never met, is not a member of your family, is now, out of the goodness of their hearts - GIVING YOU FREE ADVICE (that you didn't ask for). It's a no brainer. They have motives $$$$$$$$$$$$.

Let's hope it already has...EVG have collaboration agreements with several high profile Universities, all of which are now involved in Copvid-19 research and so every chance that we could have news to that effect soon....news on the new CEO should be close. Gl ;-)

Lol Bobby, so why haven't you joined the dots....Lamellar looks like a very strong contender for the RTO target which could provide transformational UPside for those invested.....Gla a BIG blue day ahead imho with the transfer of cheap shares to those that are accumulating for the RTO....On and UP!!! ;-)

Motif have just had a fund raise and are now in a very strong position to successfully complete a RTO , that's why the highly respected Chris Wardhaugh, NED of Lameller Bio has recently joined the BoD of Motif....he certainly wouldn't have put his reputation on the line at this most crucial time in proceedings, if he wasn't supremely confident of a successful conclusion, and enough for Lomabard to declare a 16.85% interest for their clients.....the RTO is where the real value will be....and news could drop at anytime. Motif Bio is undertaking the Placing at this time in response to investor demand. In addition, the Placing will strengthen Motif Bio's balance sheet as the Company's Directors continue to focus on sourcing an appropriate reverse takeover candidate for Motif Bio. The Company's Directors are currently in discussions with several companies in the healthcare sector that have expressed an interest in proceeding with a reverse takeover.

Use of Proceeds

The net proceeds of the Placing will be used as follows:

-- To strengthen the Company's balance sheet as the Company's Directors continue the search for an appropriate reverse takeover candidate; and

-- To provide the Company with additional working capital.

Following the Placing, Motif Bio will have cash of approximately GBP815,000 which will provide the Company with sufficient working capital until February 2021. The Directors will continue to impose disciplined cost controls.

Lamellar Biomedical Launches Program Designed to Prevent the Severe Respiratory Effects of COVID-19, Using its Unique LAMELLASOMEâ„¢ Technology

A LAMELLASOMEâ„¢ nebulised treatment used at the early stages of COVID-19, in hospital or the community, could reduce the damaging and often fatal inflammatory response known as Acute Respiratory Distress Syndrome (ARDS) seen in patients. Motif Bio Signs Agreement with Lamellar Biomedical

Evaluation of Iclaprim in Combination with LMS-611 for Cystic Fibrosis Lung Infections

Motif Bio plc (AIM/Nasdaq: MTFB), a clinical-stage biopharmaceutical company specialising in developing novel antibiotics, today announced that the Company has signed an agreement with Lamellar Biomedical Limited (Lamellar) under which Motif Bio will conduct an in vivo pre-clinical study evaluating iclaprim in combination with Lamellar's patented LAMELLASOME(TM) technology.

Iclaprim has been granted U.S. orphan drug designation for Staphylococcus aureus pneumonia in patients with Cystic Fibrosis (CF). Lamellar's LAMELLASOME(TM) candidate LMS-611, which has mucokinetic (mucus clearing) properties, has demonstrated antibiotic potentiation (the enhancement of certain properties of antibiotics) and has European orphan drug designation for CF.

The companies believe that, based on pre-clinical data with the two individual components, the combination could be a promising potential treatment for lung infections in patients with CF.

Dr. Graham Lumsden, Chief Executive Officer of Motif Bio, said: "We have been looking for a way to optimise the development of iclaprim in patients with CF. We are excited about the preliminary data we have seen with Lamellar's technology and look forward to evaluating it in combination with iclaprim."

they couldn't sell it as a treatment for bacterial and viral skin disorders , which was its original purpose and target, but since then they have realise it is benefit for bronchial and pneumonia respiratory lung diseases, the same symptoms now witnessed in Covid-19, which have appeared to be highlighted and confirmed by Lamellar's evaluation of iclaprim in combination with their inhaler technology....Gla Holders This is going to be BIG!!! ;-)


Mtfb's ilcaprim completed phase 111 trials last year and so obviously had cleared phase 11 trials to get there , but the FDA wanted another phase 111 trial before awarding NDA because they were concerned about toxicity issues related to the liver , but this was with ilcaprim intravenously administered for treatment of bacterial and viral skin disorders and so perhaps any toxicity concerns wouldn't be an issue through inhilation and in combination. Iclaprim , was also observed to of therapeutic benefit in the treatment of bronchial pneumonia, and those suffering lung complications with Cystic fibrosis etc....obviously this was all before Covid-19 reared its ugly head, and so now of course is the urgent global effort to find a treatment and a cure, and so the benefits witnessed by the collaboration between Motif and Lamellar's nebuliser inhaler technology in combination with ilcaprim's , indicated that this could be highly significant to the treatment of similar lung disorders associated with Covid-19 , and as iclaprim has already passed phase 11 and completed phase 111 trials, then presumably it can go straight into patient trials in combination and or others technology, such as nebuliser inhalers that are being developed by Lamellar.......... every chance and all to play for , Transformational RTO news could drop at anytime. Don't talk wet privateryan, iclaprim is worth many millions in development costs to reach phase 11/111 status which would take many years to reach. The fact that no news on the sale of iclaprim has been made and the fact that iclaprim's details were taken down from Tamarack Associates website many weeks ago , stongly suggest that iclaprim could be included in the RTO package, which would make perfect sense if the RTO comapany is Lamellar Bio who signed a collaboration agreement with Motif May last year to evaluate iclaprim in combination with their nebulised inhaler technology. The highly respected Chris Wardhaugh NED at Lamellar has also joined Motif's BoD, which further strengthens the connection with Lamellar, and underlined by Lombard's 16.85% share declaration......an RTO of adynamic Healthcare Bio such as Lamellar, that can take iclaprim straight into Covid-19 patient trials because if its phase 11/111 status would be very well received by the market and could rise in value exponentially and if they reported positive results in Covid-19 lung disorders then the value would go off the scale.......Gla Holders Hold on tight and enjoy the ride for transformational UPside potential. ;-)

Lol...Cheers Riddler, just a few loose end being tied up as we approach RTO disclosure, we also had over 100m shares traded yesterday and so another 7m will be absorbed in a blink......the Smart Money is accumulating for the RTO imho. Gl ;-)

The price of share warrants are set in stone and will have been issued during Motif's development years, and normally on an ascending scale and can only be exercised at a certain date and time as long as the the sp has reached the price of the share warrant. They also become null and void in the new RTO company , hence the timing now, which suggests they exercised now prior to the RTO.....a small bit of dilution but insignificant in proceedings and another £48k cash in the bank. Gl ;-)

Another £48k cash in the bank and a few loose ends being tidied up as we approach RTO, as far as i know share warrants and options etc in Motif become null and void and aren't transferable to the new RTO company. Gl ;-)

Exercise of Warrants



Motif Bio plc (AIM: MTFB), which has been reclassified as an AIM Rule 15 cash shell, announces that it has received notification from a warrant holder to exercise warrants representing 7,142,857 ordinary shares of 0.01p each ("Ordinary Shares") in the Company for total consideration of £48,571.43. The exercise price of all warrants was 0.68p per warrant.



Application has been made for the 7,142,857 new Ordinary Shares to be admitted to trading on AIM ("Admission"), which is expected to occur at 8.00 a.m. on 20 May 2020. The new Ordinary Shares will rank pari passu with the existing Ordinary Shares. The Company does not hold any Ordinary Shares in treasury.



Following Admission, and further to the announcement made on 5 May 2020, and for the purposes of the Disclosure Guidance and Transparency Rules, the Company's total issued share capital will consist of 654,991,023 Ordinary Shares. Shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the issued share capital of the Company.

Requirement for a suspension

A shell company, or in the case of a shell companywith a premium listing, its sponsor, must contact the FCA as early as possible:

(1) 

before announcing a reverse takeover which has been agreed or is in contemplation, to discuss whether a suspension of listing is appropriate; or

(2) 

where details of the reverse takeover have leaked, to request a suspension.

Examples of where the FCA will consider that a reverse takeover is in contemplation include situations where:

(1) 

the shell company has approached the target'sboard;

(2) 

the shell company has entered into an exclusivity period with a target; or

(3) 

the shell company has been given access to begin due diligence work (whether or not on a limited basis).

Generally, when a reverse takeover between a shell company and a target is announced or leaked, there will be insufficient publicly available information about the proposed transaction and the shell company will be unable to assess accurately its financial position and inform the market accordingly. In this case, the FCAwill often consider that suspension will be appropriate, as set out in LR 5.1.2G (3) and (4). However, if the FCAis satisfied that there is sufficient publicly available information about the proposed transaction it may agree with the shell company that a suspension is not required.
