I don't disagree that they could make a mandatory bid but my point was Kodal shareholders and the BoD would need acceptence. The mandatory bid would have to be at least at fair value. Otherwise it would lapse and be rejected.

A mandatory bid lapses when it doesn't meet the minimum acceptance threshold. This can happen in a number of circumstances, including:

France: If the bid doesn't reach the 50% minimum threshold of the target company's shares or voting rights.

UK: If the offer becomes unconditional or lapses.

Mandatory bid rule

This rule requires anyone who buys a significant portion of a company to make a fair offer to the remaining shareholders.

Bid duration

A mandatory bid must be kept open for acceptance until at least Day 21, which is the 21st day after the initial offer document is published.

If a bid lapses, the Takeover Code imposes restrictions on the potential offeror for up to 12 months. These restrictions include being unable to announce an offer or acquire shares.

Final Day Rule

This rule sets the last day on which an offer can become unconditional. By default, the final day is midnight on Day 60
