Reading on the DVRG BB, some people are worried that DVRG will delist and MSYS will pick MW's business for next to nothing; it could possibly in consideration for the debt if DVRG's Board approve it; given NBurton being on both boards, could it be something he would be pushing (despite the conflict of interest)?

This would make him a lot of money probably, although very unlikely.

No idea what's happening, so much negative commentary (Boards to blame as they left everything at the very end);

Optimist in me (getting weaker by the day) still hopes that a positive surprise could still be sprung, at least with respect to MSYS Revenues (and new clients/services) in 2022 and H1 23, plus (hopefully) some possibility of DVRG not going bust, and thus a slow recouping of the trade debt.

Last year the AGM was announced with the issue of the Interim results; therefore, we should hear not before the AFS are released. IMO

NU, we are just speculating between the various scenarios here;

If my Co Law knowledge serves me well, if a public co is delisted it doesn't mean it's bankrupt!

If it's not bankrupt, then DVRG has to deliver its contracts and so it has to keep paying MSYS.

No need to worry too much, nothing we can do (except sell now) until we get clarity.

MSYS stands to gain, BTW, by providing its services to all the pharma companies' cluster developing new drugs (but that's in the long run).

We know that (no direct connection); the point I was trying to make was that, like APTA (SP bombed out for various reasons) jumped 200% on a single RNS, MSYS (by virtue of its undervaluation due to all the bad news recently) might also rise substantially if nothing bad is announced at month end, but instead the Auditors approve the FS, the settlement plan and DVRG do not go under;

Please re-read relevant RNSs about DVRG and APTA collaborating; from 2021, if I recall.

Shows potential for MSYS if we get no more nasty surprises in 2 weeks , but something positive instead.

If I am not mistaken, APTA collaborates with DVRG (and MSYS) on the binders that attach on MW's water monitoring equipment.

De-listing is a risk as you claim (esp. given the lack of trust in whatever GJB says), however IMO this is unlikely because:

1. City and shareholders have their knives out for GJB; if he does this, he will spend the rest of his life in courts (and pay legal fees with what money?);

2. GJB may be the CEO but he is not the main shareholder, so not the one to decide; institutions (incl. those who invested 2 years ago) prefer the listing to remain IMO as it instantly values their stake and provides some liquidity;

3. listing allows staff to be incentivised via stock options;

4. if June end provides unqualified Audited FS, on a going concern basis, then the SP will jump and your theory might be invalidated;

5. You are assuming that the SP will stay in the sh..thouse for ever; all we need is good Audited numbers, a vetted agreed settl. plan and a solid outlook for 2023 leading us to profitability.

We all want MSYS to be successful, and I hope they are working hard (because they have no alternative but success);

But people are angry at the same time because GJB's (and maybe NB's) ethics (zero) have cost everyone a lot of money; at least NB is down 75% on his investment of last year, so maybe he is feeling our pain (and keeping a close eye on his mate).

At the time, nobody knew about the skeletons left by GJB in DVRG's closet; nor the klepto-financing of DVRG by MSYS;

at the time, he seemed like a good fit for MSYS as he had devised the new business strategy and he was an insider of MSYS biggest client.

I wonder if GJB will dare to have an open Shareholders AGM, and come in person!

I think that, whatever we say, good or bad is pure speculation unfortunately; the Co's credibility (as GJB has none left, in the City) is now riding on whether the Audited FS will be issued on time and without any qualifications;

We know GJB's track record but as I have said before, MSYS (his 3% share stake and extra 5% potential due to options) is his last chance to make some money before retirement; I assume no other listed co will want him as a CEO, nor any institutions will invest their money with him so we shall see - if all goes well - in about 3 weeks (the latest).

"downside is limited", if you had read my posts carefully are based - IMO:

1. SP down already by 50% after the 1.4mln debt news were released; 1.4 mln debt relates to 2022 Revenues;

2. MSYS saying that DVRG has been paying down the debt since 2023 start (no figure stated);

3. MSYS saying that DVRG, like rest of clients, pay for services rendered within 30days; I also said that DVRG needs MSYS in order to deliver on o/s contracts; if no delivery, no cash for DVRG;

4. MSYS saying in April that 90% of 2mln pipeline (not Sales) are non-DVRG related;

5. Given the fear about DVRG, and lack of news for many months (re MSYS Revenues), it is logical- IMO - that people sell on the basis that things may get worse; however, this situation also leaves scope for positive surprises if things turn out better than the worst case scenario priced in.

I have stated my assumptions, based on available (albeit limited) public info, I don't have insider info unfortunately; that's why I add "IMO" after my assertions;

I also state that we will know much more when Audited FS are released; if the Auditors sign off the a/cs as a going concern, if the settlement plan is approved, if etc.

SP dropped +50% since the problems at DVRG were announced, I said that most, if not all, the bad news are in the price - IMO.

H1 22 Results indicated 600k Debt by DVRG to MSYS (on H1 22 Revenues of 725k), so it's obvious that DVRG had serious CF issues from early 2022; the debt increased by another 900k in H2 22 (as per last RNS on the trade debt); MSYS provides the units to MW and micro-engineering services; I cannot know if all the RNSs issued by both companies contain falsehoods; you assert that they do - this is your right to do so.

And it's my right to expect that if the Audited FS are released, then we will get clarity on all these matters; doesn't mean I am right. That's why some people make money and most lose.

IMO, in terms of Bad news, the only "shoe" remaining to drop (which - maybe - is not reflected in the MSYS SP) would be for DVRG to go belly up...how probable is that, I don't know...we'd know in a few weeks.

However, MWater already has plenty of kit installed around the world, so - IMO - even in case of bankruptcy (DVRG), someone would still have to service the kit/supply spare parts and deliver on the pending contracts etc; someone would take over MW's business (so MSYS business might not be disrupted) or, some MW staff would move over to MSYS and MSYS might take that bit of MW business; surely, there would be some disruption in the meantime but business must go on eventually.

In conclusion, the downside from hereon due to the DVRG connection - IMO - is limited for MSYS, whereas there are potentially more positive catalysts.

Partly right T, however:

1. 2022 Results will be audited, so if we get a minimum of 2mln it will be very positive;

2. Important will be how much cash we have at June end, I assume the RNS will not lie about that (if they state any figure)

3. GJB knows he's under the microscope now and it'd be stupid of him to continue at MSYS what he did at DVRG; plus, I guess N Burton will stop covering up for him and there will be more scrutiny at the RNS.
