As part of the transaction, NEXT-ChemX will issue to Clontarf the number of fully paid restricted shares of common stock of NEXT-ChemX representing a US$500,000 value, with the exact number of shares being calculated using the issuance price fixed at the next completed equity raising that is closed and reported to the SEC by NEXT-ChemX. Such shares shall be issued at the closing of the next equity raising carried out by NEXT-ChemX.

So we get $500,000 worth of CHEX shares. So in theory it should counter balance some of the shares they get of us. But the exclusive rights of the iTDE technology In Bolivia is well worth it. If they use it nationwide the price increase will be HUGE

The local authorities are the stumbling block at the moment. As I have said before I think Clon are working to get them on side with the farming and bio fuels. As they are leaving them something behind. Also the in the contract of the JV it allows the YLB to be involved. So basically JV are will to give up a small percentage that could be give back to the local community’s if their technology is used. Then the YLB are appeasing the local community also.
That is just speculation but it does make sense. The Bolivian government want their money. But we’re offering a slice of ours. But it only works if our iTDE technology is used by everyone. Then all areas get some money back. Clon is looking at the bigger picture

That could have been part of the application process. There were lots of companies interested. But none had actually proved the technology on a large scale or that it would work in the harsh conditions. The Bolivian government have awarded some licenses to companies but no one has been successful extracting large amounts of lithium.
If the test results come back as expected. This is going to be the only method they use. There’s been no other mention recently of anything

The most important thing you have to remember is Clon ( Peter o’toole ) is the Irish ambassador to Bolivia. He’s been there for years and has built up great working relationships with important people in the Bolivian government. This is how they seem to know what’s needed and when. There’s lots going on behind the scenes. But Peter is one one of the main owners of the new company that’s being formed. They can see the long plays in this scenario and what they need to do to pull it off. There’s lots of acceptance from locals and local authorities that need to be met. But I think all this they are doing is so they can see it’s not just mining then disappear. They are going to create jobs and farmland after the mining is done

Significant Competitors.
Specific companies that have published information or strategic affiliations with lithium brine mining companies are as follows:
Lilac Solutions - developed ion exchange resins and has made a pilot plant that is being tested by Lake Resources in Argentina.
• Sunresin - a Chinese company has developed ion exchange resins that they claim are deployed at a site in China. They infer that it uses other technologies in combination with the resin. Recently, Anson Resources has announced that they intent to use the technology on a site they are developing.
• Standard Lithium - affiliated with an existing bromine producer from brines in Arkansas, has developed an absorption on sorbents technology which it uses in combination with other technologies.
• International Battery Metals - appears to be using an ion exchange resin process in combination with reverse osmosis.

• Koch Technologies/Membranes - appears to be using a reverse osmosis plus sorption process plus ion exchange. They have recently invested in Compass Minerals in Utah which is a traditional producer of magnesium salts from salt lakes.
• EnergyX Technologies - has developed Metal Organic Framework membranes, tailored to allow selective lithium transport.
• University of Texas (Austin) - is developing certain Crown Ethers selectively permeable to lithium.
Our iTDE technology is not related to any of the aforementioned technologies. It is radically different. We believe our system is inherently more energy efficient and more environmentally friendly than all other currently known or proposed extraction systems.

No. Have you seen the price of lithium and how much Bolivia has. It’s strategic. They are held for periods of time. But it also gives CHMX collateral to possibly raise money against. They only get the shares if things go to plan. If things go to plan. The share price will be so high you will not be bothered about knocking a penny off the price. Also the bod must be confident of getting other companies to use the technology so we get 15% of the contracts. Why right it in.

There’s a paragraph where they say it’s more cost effective and greener than any other DLE. So if you are truly wanting to be green and put down the Chinese method of burning the rocks at 800c to get lithium. This is going to be a good advertisement that you lithium is greener

We need official confirmation of this $500,000 but the director did say they had raised that in the email he sent me. I posted yesterday

YLB own is it 50 or 51% as part of the agreement. Like the like says they must own majority share. ( which they do of every area they allow to be mined).
What I was referring to was it says in the JV contract they may allow YLB to join the JV. This bodes well as if they then make every company use the technology. Clon will get a share of everyone else lithium. On top of their own areas that’s been awarded.
The big thing could be though ( as was hinted at in the CHMX presentation). Have all these companies just signed the rights for lithium extraction? What about all the magnesium? That could be even more income.
iTDE can leave all these areas clear. With clean water. Which then could fall into line with clons new company., turning it into more farm land for cattle and bio fuels

That’s a really good read. I think the $500,000 Clon have paid is to clear some of there debts in that section. Which it say will allow them to pay others.
On financing I think they are sound for now. There’s a section further down about building the pilot plant and I think they have made a prediction on costs of $100,000 and CHMX are covering that. Anything extra and it’s split 50/50. It depends how things go after that as how many plants they are constructing and how quickly . Where funding could be needed. But both companies should have funds for a while.

We just filed a document with the SEC that allows us to raise $2.5m US that we are currently working on and $500k is already sold…so as we raise the rest of the funds and move forward in the next coming months we will publicly update our shareholders

Clon raised £1.3 million not so long back. CHMX are in the process of raising $2.5 million. Also th here’s nothing stopping them getting backing like EnergyX £50mill for first refusal on any lithium mined

That’s because none of the companies have developed a way to DLE effectively and greenly. The fact Clon have a system with CHMX bodes well. They have also written in to the contract that the YLB can join the partnership. This gives them more income. It can also possibly help pay the local areas thinking they will be missing out on income.
The fact that Clon also has their other company that will create jobs and income for areas also bodes well for there acceptance

JV is sorted. It finishes off the with completion of the testing. Transfer of shares and the option at upto 30 days to buy more shares. If they do you know it’s a good sign. That’s all I can see that’s not done.

Regarding testing in Texas this will be due to the patient pending. If tested in Texas it will probably strike it in law that it can’t be copied
