It is odd. Failry revently over 100m money gone in from a range of old and new insiders, industry gurus and big name investors yet price drops

As miffed as i am to be forced to go private taking shares in a business priced at 7 pence but valued at 80 pence is too good to walk away from and I smam fortunate to leave the money invested would rather fair value transaction be agreed

It's f##cked my isa though

Does anyone know how an asset which...

1. Cost 1bn to build

2. Apollo said is worth at least 800m

3. Moulding agreed was worth 800m+

4. Is 18 months from FCF +ve

5. Part of a group.worth dar more than 170p [which according to moulding signudicantly undervalued the business)

...is being taken private from rest of group at only 100m. Surely it must be independant arms length valued much higher.

This must be challenged

The chairman should front this to shareholders,not a CEO with huge personal conflicts of interest

Agree a CEO should inspire creare belief and wealth. Moulding has a never ebding feeling of oh God wtf now

Exactly who.is protecting minority shareholders here?

500m softank written off

1bn investment in ingenuity written off

500m imparements in beauty and nutrition acquisition written off

95% of investor money at IPO written off

Surely it's now time he was written off

1pencil that's not how the code works. Infact it's the opposite. All shareholders must be treated fairly its there to protect minority interests. The minority arms being forced to give up public shares and take private ones if they want to keep a fair value interest in ingenuity.

Hmmm it's not as simple as that tbough is it.

Retail invectors are being told to maintain their interest in a 1bn ingenuine business they must give up public share class for private share class with the downsides that entails on tax and liquidity and or they can have 100m vs a 1bn asset

That's looks like clear cut unfair treatment under the takeover code

Simple and fair way is keep it at arms length fair value...why wouldn't you

Ingenuity should must be arns length and failry valued.

I'm sure while we are all able to gain from low ingenuity valuation (buy a 1bn asset for 300m) but this is very wide open to a 3rd party bid. Surely a bid for ingenuity must come on now given.what a steal it is

My dream situation now for next 8 weeks is a 3rd party buys ingenuity out of thg at 1bn value then I stay with a debt free nutrition and beauty post bid plus special divi for ingenuity vs take a share in.orivate ingenuity where I'd have low influence of price and exit and have to.pay 40% CGT

The value is there

This split is definitely needed. They are very separate businesses at opposite ends of risk reward. Once split then revaluations can occur

Ingenuity must be done at fair value though. I don't see how it is at minute. Mr chair where ate you???? Surely they're will be a bid at this give away price

Also if shares in isa wrap think remain is no brainer but outside why not take ingenuity as cheap then sell post deal to exploit situation

Ftse sector ave is 14x therefore remainco 1.4bn plus any profit inc from cost redn On revenue basis 4× sp 8bn? Opinions please

There will be a market created by moulding for trading ingenuity if you believe him. The power of a small seller with be very limited to bargain though.

value by any measure on comparison multiplier on revenue or profit is way way absolute min 25% of peers at current price. Bids and value modeks are also way higher. Most of the discount i believe is due to moulding trust issues. On upside most of his friends family charities and staff are in same position. All things considered there is a huge value gap so risk rewards looks very strong maybe best on ftse. I'd expect a big gap closure. It's a very safe bet at this price

Come on PE make your move present an offer that beats this

I.like the deal gives many options for us all and uncertainty now adressed

Looks a fair deal to me.

Lots of flexibility on how we can elect to invest in remain co vs ingenuity. Personally i don't think i fancy a liquidity lock up in private ingenuity when electing my option but still considering as potential.massive gains on it

New shares issue to fund it bringing new cash v close to market price so that's fair too and Looked v heavily subscribed for too.suggestimg seeing demand to be In on the deal

Massive clear step blows away uncertainty now. SOP is happening with clear dates, as is main market listing for remain Co

All looking v good to me just what many of us were waiting for and all.done fair to all

Market should start factoring in SoP now which by any measure is a large rerate

You need to read the RNS. THG shareholders have option of rolling into remaining/ THG electable mix. Please read before posting
