On 7 February 2020, the Company announced that it had secured additional financing from the Investor for a gross amount of £5,000,000 with a commitment by the Company to draw down on at least £2,000,000 of funding, with the decision as to whether to take more than £2,000,000 being in the sole discretion of the Company.

How clear do you want them to be, CEO already told us they’re ending EGHOS..

With the Company now experiencing material growth in activity, partially due to the management services contract with JOE Media, the Company intends not to serve any further notices to draw down under the Facility going forward.

Instead, and consistent with the previously announced intention of the Company to move towards conventional financing, the Company intends to replace the variable conversion price financing structure of the Facility with organic funding from revenues together with conventional issuance of ordinary equity capital and non-convertible debt. The Company will aim to restructure its financing in the next quarter and will provide updates in due course.

After due consideration the Board has approved the offer and the Company will proceed to negotiate a share purchase agreement with Prism documenting the terms of the transaction and seek shareholder and regulatory approval.



Prism's offer has three key elements that will see this transaction successfully completed within four weeks subject to all legal approvals being obtained: a) restructuring and settlement of the debts of the Target and its subsidiaries; b) provision of working capital for the Target and its subsidiaries; and c) Prism restructuring the board of the Target and its subsidiaries.

Last operational RNS

The Company has been informed that completion of the acquisition of the JOE Media business in Ireland by Greencastle Capital has been delayed from the guidance previously given and is now expected to occur in early October. The Company does not expect any further delay, and will take full operational control of JOE Media's Irish business immediately on completion of that acquisition.

Very little risk now of any further delays, read RNS significant progress made and the key thing is that the PPA is already done in draft...negotiating this right before concluding final PPA...done!

These preparatory work elements which provide critical inputs to enable purposeful negotiation of a PPA agreement have been successfully completed over the last two months, despite the on-going travel and operational restrictions as a result of the on-going and resurgent Covid 19 situation.
