Tulip Oil Holding B.V. ("Tulip Oil" or the "Company") announces that the Company
has signed a binding share purchase agreement to sell its subsidiary Tulip Oil
Netherlands B.V. ("TON") to Kistos Plc. ("Kistos") for a headline consideration
of EUR 220 million plus up to EUR 163 million of contingent payments and EUR
5million of warrants (the "Transaction"). The Transaction remains subject to
customary conditions precedent.

Kistos is a closed-ended investment company, listed on the AIM market in London,
established with the objective of creating value for its investors through the
acquisition and management of companies or businesses in the energy sector.

Upon completion of the Transaction, Tulip Oil will become a shareholder and
debtholder of Kistos and will continue to be a 90% shareholder in Rhein
Petroleum.

Proposed Transaction
o The Transaction will be enacted through the sale of the entire issued and
outstanding share capital of TON, which, together with its wholly-owned
subsidiary, TONO, owns an operating interest in the Q-10A offshore gas field
the Q-10B, Q-11B and M10/M11 discoveries, and other exploration and appraisal
projects in the Dutch North Sea.
o The total upfront consideration for the Transaction is EUR 220 million. This
will be comprised of a cash consideration, a new debt instrument, equity in
Kistos plc and the assumption and refinancing of the exiting bonds of Tulip Oil
Netherlands Offshore B.V. ("TONO") by Kistos.
o Kistos is working with debt advisors, in Norway, to explore the options for a
new debt instrument, which will be issued as part of the consideration.
o Kistos will also issue EUR 5 million of warrants to Tulip Oil at a premium of
30% to the price of any equity placing in addition to contingent consideration
of up to EUR 163 million payable on certain development milestones.
o The completion of the Acquisition is subject to, inter alia:
o certain regulatory consents and confirmations;
o closing of the new TONO bond and finalization of the equity component
associated with financing the Transaction
o the publication of an AIM admission document on the enlarged Kistos Group;
o Kistos shareholder approval of the Transaction; and
o Admission of the enlarged share capital of Kistos to trading on AIM.

Tulip Oil is being advised by Jefferies International Limited and Stibbe N.V in
relation to the Transaction.

I missed the IPO but the reason I got into TGR was that I watched to Shishir's video on LSE after placing. The guy seems so genuine and is so knowledgeable on the product. The company are constantly keeping us updated via interviews, twitter and RNS.

Malcy welcomed the new team but indicated that PH remained by the skin of his teeth. Now we have to wait for the money to roll in before the stock moves up.

Commencement of Second Stage Exploration and Drilling Programmes at Vatomina and Sahamamy Projects, Madagascar & Appointment of SRK Consultants



Tirupati Graphite plc, the fully integrated, revenue generating, specialist graphite producer and graphene developer with operations in Madagascar and India, is pleased to announce the commencement of its Stage II exploration and drilling programme ('Stage II Programme') across its primary flake graphite projects in Madagascar. The Company is also pleased to announce that SRK Mining Services (India) Private Limited ('SRK') will oversee the Company's Stage II Programme and update and upgrade its current Mineral Resource Statement ('MRS') for the Vatomina and Sahamamy Projects in Madagascar under the current Competent Person's Report, which was contained in the Company's listing prospectus. SRK is a consulting practice of international mining consultants SRK Consulting.



Stage II Programme Highlights

· Commencement of Stage II exploration and drilling programme;

· Stage II Programme to target enhancing global resource base by:

o increasing geological confidence in areas currently categorised as Indicated and Inferred Mineral Resources, and;

o establishing additional Mineral Resources in areas previously identified by SRK as Exploration Targets and open extensions.

· Across Vatomina and Sahamamy Projects over a period of six months, the Stage II Programme will include:

o c.10,000 metres of auger drilling;

o c.1,000 metres of trenching, and;

o c.5,000 metres of diamond core drilling.



Mineral Resource Update Overview

· Tirupati and SRK to undertake a Resource Definition Exploration Programme to culminate in;

o an updated geological model;

o updated Mineral Resource Estimates, and;

o an updated Mineral Resource Statement ('MRS') in accordance with JORC Code (2012)1

· The Company is targeting an MRS update that will be followed by multi-disciplinary studies on;

o mining, geotechnical, hydrogeological, processing and infrastructure, and;

o economic, marketing, legal and Environmental & Social Governance ('ESG') factors.

· Tirupati aims to update the current SRK CPR, published in June 2020, later this year and which was contained in the Company's listing prospectus.
