Confirmation of second tranche payment of £2.85 million from Arana Therapeutics

Scancell Holdings Plc, (AIM: SCLP), the developer of therapeutic cancer vaccines, is pleased to announce that it has received confirmation from Cephalon, Inc that the condition relating to the second tranche payment from the sale of Scancell’s antibody portfolio to Arana Therapeutics in 2006 has now been satisfied. Scancell is therefore due to receive a further sum of £2.85 million (before any related tax and other costs are deducted) on 16 November 2011.

Background
On 1 December 2006, Scancell sold its portfolio of antibodies to Arana Therapeutics (then known as Peptech (UK) Limited and subsequently acquired by Cephalon, Inc, which itself is now owned by Teva Pharmaceutical Industries Limited). The consideration for the sale was a cash payment of £2 million, which was paid on completion of the sale, plus a possible further sum of £2.85 million gross which was payable when a milestone was achieved relating to the development of a drug derived from any of the antibodies which were the subject of the sale.

The expectation is that all clinical trials must be registered. However, in exceptional circumstances non-registration may be permissible with prior agreement from the Health Research Authority (HRA).

This has nothing to do with the starting of the trial as per "immediate" used in RNS

Months after elevating chief scientist Harpreet Singh to the post of CEO, privately-held immuno-oncology company Immatics has enlisted Celgene in a deal capitalizing on the industry’s appetite for TCR therapies and their potential to target solid tumors — a limitation of existing cellular therapies.

The Celgene deal gives Immatics $75 million upfront for three programs and up to $505 million in milestone payments for each licensed product if Celgene exercises the option. If all goes well, Immatics stands to earn more than $1.5 billion, in addition to tiered royalties on net sales. Celgene $CELG, meanwhile, is in the process of being taken over by Bristol-Myers Squibb $BMY — which means the fate of the deal ultimately lies with Bristol-Myers.

The new deal includes the largest upfront Immatics has received for any pact, as well as the highest potential value attached to each target — which shows the increasing appreciation for such targets, Singh added.
