If I was a betting man, I would put a few quid on an RNS today (p.m.) announcing a dividend of 1.50p.

Dividend has not yet been declared. The next dividend (Q2 2024) will not be declared until September (probably).

Assuming that Admission and Admission of the Consolidated Shares occur, the Board's current intention is to pay approximately 2.2 pence per Ordinary Share (assuming the Share Consolidation becomes effective) in relation to the 2024 Q2 Dividend, which is expected to be declared in September 2024.

There are some material errors, notably those concerning the dividends.

The 4.8p dividend to which he refers is the annualised 1.2p paid since Q2 2023. The 2.2p dividend to which he refers is entirely different and in no way comparable, being the proposed Q2 2024 quarterly dividend after the one for ten share consolidation.

As regards the dividend falling, I believe shareholders are entitled to know what is going on. Something is going on here.

This falls by £10.5 million to £14.3 million (reduced dividend of 8.8p on 162,088,640 shares) after the placing and share consolidation. My question is, how is it that the total of dividends paid falls by £10.5 million (42%)?

The pre-offer price (20.2p) is irrelevant.

The total value of existing pre-offer shares is irrelevant

The total share value (whatever that is) is irrelevant

Please let us explore the dividend change a little more? Prior to the placing, on an annual basis, the total dividend payout was £24.8 million (4.8p on 515,736,583 shares). This falls by £10.5 million to £14.3 million (reduced dividend of 8.8p on 162,088,640 shares) after the placing and share consolidation.

This lower payout is after the retail bond has been settled, saving £2.25 million (£50 million at 4.5%) and the bank facilities have been reduced by £26.3 million thus saving £0.9 million (assuming rate of 3.5% being the weighted average cost of debt).

All things being equal, one would expect the payout to increase by £3.15 million, from £24.8 million to £27.95 million. However, instead of increasing to reflect the reduced interest payments, the payout has been reduced by £10.5 million (42%).

What is going on here?

I share your concern. On an annual basis, the dividend payout falls from £24.8 million (4.8p on 515,736,583 shares) to £14.3 million (8.8p on 162,088,640 shares).

What has happened to the missing £10.5 million? The £5.8 million expenses associated with the capital raise account for part of it as a one-off cost. What about the rest? What about future years?

I think your number of shares issued (prior to placing) is wrong. I think it is 515,736,583.

Premium is now 7.7% based on current buy price of 53.035p, paying 8.5%. There may be better value elsewhere .

TFIF is on a discount of around 2.2% paying 9.6%. SMIF also looks like better value.
