To accept at least 30p per share for takeover and thats £70m market cap and equal to cash, the bidder will not just pay £70m for takeover, its £70m on top of £400m plus total liabilities so thats close to £500m the bidder have to pay or take on some of the debt, but sometimes for the takeover to be successful the bidder have to pay off all the liabilities, anyone correct me if i'm wrong.

The BOD will get a huge payoff or bonus just to get the takeover done even if their shareholding average is way higher than the current SP, the BOD have bought a load at around 40p - 41p a few months back, so takeover at 40p per share should be fair value with the BOD imo.
