IF you had a 1000 shares prior to the demerger, and decide to stick with RemainCo, you will be left with 1000 shares post demerger.

The value of your share will fluctuate depending on what the market decides it's worth. The overall outstanding shares in issue will reduce from our current (but temporary) 1.5b to c1.3b as far as I'm aware. You may get some value from that reduction in total share count.

I've mentioned this elsewhere but seeing the difference between UK earning calls Vs US company was stark.

THG earning calls feel rushed, disinterested and ends quicker than it starts. US companies however, the ones I've invested in anyway, take well over an hour and then in the Q&A analysts are lining up to ask questions and directors responding with well thought out responses.

The longest call I've been on lasted about 1 hour 45 mins and the Q&A was about 1 hour of that.

I was shocked when I tuned into the THG AGM a few years back whereby the meeting ended in less than 10 mins. There is no appetite to woo investors or city professionals. No wonder people are disinterested. Of course, it's everyone's fault rather than MM or our ingenuous chair.

Conspiracy theorists and haters? Keep your sanctimonious attitude to yourself. There is a vast majority of people who have been holding this stock for years as they've seen the value of their holdings reduced over 90%. I dont even have a massive holding c10k, but there are people who hold THG in their SIPP as well as holding a considerable number in their ISAs. For years, MM has moaned, complained about the unfairness of the UK markets while over promising and under delivering. The Chair is non-existent, investor relations are useless and the only way we get strategic news is perusing MMs LinkedIn and try to make sense of what he's saying.

If the public market hasnt backed the company, then theres clearly something amiss and it's not just down to shorts. They've missed their targets for as long as I can remember and are constantly blaming others. Now, MM is going to take a large proportion of the company private on the cheap whilst diluting ordinary shareholders. Think about it, how much CAPEX was spent building up Ingenuity? Now that it is almost where it needs to be, he's going to demerge, with a crappy scheme that puts ordinary shareholders in even more uncertainty with the new IngenuityCo completely controlled by MM and his lickspittles.

MM is essentially corporate raiding his own company to the detriment of PIs and some II's.

Havent seen the JP Morgan downgrade. Link by any chance?

Someone posted this on another forum, but this is basically a dillution and MM gets IngenuityCo for free.

Prior to the raise there were 1.3b shares in issue, and post placing there is now 1.5b. After demerger happens, the shares outstanding in RemainCo will remain around 1.3b. If you held 100 shares prior to demerger and decide not to go into IngenuityCo, you will effectively keep your 100 shares post demerger and the shares outstanding in the company will be 1.3b. Ingenuity will of course no longer be part of the THG group.

Nothing is ever simple when MM is involved.

Despite my clear objections to MMs conduct over the years, I still remain hopeful and have even purchased more shares.

However, every time I have purchased at what I thought was the floor, the share has cratered even further \_(-_-)_/

I'm curious to know how it benefits me and other PIs. Have been in this share approaching 3 years on two weeks and promises after promises, we've been let down.

This looks to be corporate raiding at the expense of PIs rather than IIs, by a man who is raiding his own company.

I need to get a job at THG IR department, I can then just doss about all day.

Who remembers the Pond Scum video and how hyped up they were? PIs were willing to go to war for MM, only for MM to deflate and let the share stagnate, letting shareholder value go to waste.

Why say you will have a circular out on or early November and not communicate anything since? Well, he did communicate, but it was the podcast where he felt like he was shovelling manure or reminiscing over THG with JG like someone who lost a dear one on the Titanic.

Of course it's just a massive coincidence that Dan McCrums partner just so happens to work in M&A for venture capital.
